Texas Chicago, 6 cars, 2.75. New Standard Oil Added To Defendants List (By Associated Press) SAN FRANCISCO, Jan. 30. A stockholder who filed a $5,000,000 suit against executives and directors of the Anglo-Califorla National bank, filed an amended complaint today in which he added Standard Oil Company of California to the list of defendants. The plaintiff was Ernest H. Denicke of Marin county. He demanded $1,300,000 from Standard Oil, and charged that between July, 1933, and November, 1938, that company "was in absolute domination and control" of the Anglo-California bank, with Herbert and Mortimer Fleishhacker, directors. Denicke sued, as a stockholder, to recover sums due the Anglo-California bank, in connection with loans made by the bank. He alleged that Herbert and Mortimer Fleishhacker "entered into a conspiracy to obtain large amounts of new credits to be used to finance trading accounts, personal and speculative ventures," through dummies, DIRECTORS LIABLE The allegation was made that in violation of the national banking act, executive officers and the Fleishhackers carried on improper transactions and the suit was brought under the act which makes executive officers and directors liable for losses sustained, when there have been violations of the act. In filing the amended complaint today, Denicke dropped from the list of defendants, Herbert Fleishhacker, on the grounds that he is in receivership and that it would be a conflict of jurisdiction and would complicate litigation pending outcome of the receivership. The amended complaint added, as defendants, Standard Oil of Call- fornia, William H. Berg, President of Standard Oil, and Maybelle Fleishhacker, wife of Herbert. Federal Judge Michael J. Roche signed an order today dismissing as defendants, Herbert Fleishhacker, the Palo Alto company, Pitlock Block, Inc., of California; Benjamin Bloom, director of Anglo-California bank, and Wilson Ranch company, a California partnership. Denicke charged that Standard Oil and the Fleishhackers contemplated that they "would jointly dominate and control the voting power of the defendant bank.," NEW CAPITAL His complaint asserted that in 1933 when the bank's resources were reduced to about $5,000,000 because of loans he said were made to Herbert and Mortimer,. the two Fleishhackers arranged with Standard Oil of California to obtain $5,000,000 of new capital. Under this asserted agreement, Denicke contended, Standard Oil agreed to represent to the bank's common stockholders that it was willing to Invest new capital and thereupon proceeded to form with the Fleishhackers, a company called the September company; that they obtained a $2,500,-000 R.F.C. loan in the name of that company, and with that money proposed to buy one-half of a $5,000,000 preferred stock issue which would be controlled by the Fleishhackers through their connection with the September company. Denicke contended that an R.F.C. loan would not have been needed if the Fleishhackers had been required to repay the money they had borrowed. Late today summons were issued and served on the three new defendants In the amended complaint. They will have 20 days in which to answer.
