Allaback read a long statement in which he showed that Central Acceptance Corporation was a solvent institution. After the meeting he declined to make public this statement, saying that the affairs of the company were involved in court proceedings and that he thought it detrimental to the well-being of the company to discuss them. The company said that it intended to use $9,197,930 of the proceeds from sale of the bonds toward redemption on April 1, 1940. at 101 per cent of $9,062,000 of outstanding first mortgage 5 per cent fifteen-year gold bonds due October 1, 1942. The balance of the net proceeds is to be added to the company's net working capital and applied to the reduction of bank loans. The commission authorized Consumers Power Company, Jackson, to sell of bonds for refunding purposes and to sell shares of common stock at $28.28 a share to its parent, Commonwealth and Southern Corporation. The commission split several ways in its order, which climaxed a fight by Middle Western financial houses, led by Otis and Company of Cleveland, to obtain a share in the handling of the securities.

Sale of the bonds originally was scheduled for December 8, but had been postponed repeatedly by the intervention of Otis and Company and a number of other Middle Western financial houses, including Halsey, Stuart and Company. The filing fee is $100. Whatever plan proposed must be approved by 51 per cent of the securities in default. The plan must also list the addresses of all the known holders of such defaulted bonds.

After the plan is filed, the Judge appoints a hearing date. This is within 90 days after giving due public notice through advertising in at least one newspaper for three successive weeks. All known holders must be advised of the plan in writing and the expenses are to be paid by the petitioner. Mailing if the plan must be completed 60 days before the hearing to assure all holders sufficient time to give" it consideration. The Judge may appoint a special master whose expenses will be apportioned among parties of the procedure.

A certified copy of the decree is good evidence for transfer of title. The jurisdiction covered by such a bankruptcy court are debts authorized and paid out of assessment and taxes of taxing agencies.

It also includes property acquired by foreclosure of property because of unpaid taxes, or any combination of these conditions. The taxing units Include drainage, levees, reclamation, water, and irrigation projects; also all agricultural plans, local improvements, sanitary districts, pavements, roadu, public school districts, ports, navigation, or any similar matter. It covers any city, town, village, borough, township, or municipality. With this law making the courts available with relatively little trouble and expense and with the large amount of municipal securities outstanding, it is interesting to note that the default ratio of municipals is not high. According to figures supplied by the Investment Banker Association, the maximum of defaults out of $19,000,000,000 of bonds approximated $1,650,000,000.
