Wo thought you would! Hero's tho answer this special. nouiuvinent that directors ot tho Bethlt hem Stool corporation and Youngstown Sheet ami TuU company had approved plans for a billion dollar morjjor. Approval was announced yesterday after board meeting held hero by tho llothlohem corporation and in YounnNtown, Ohio, by the Youngstown company. A special meet inn of Yount'slown stockholders has been ealle dior April to cither consummate or reject the consolidation plans. Soon after announcement was made of tho directors' action came word of opposition to tho project.

The opposition revolves around the fact that the merger would create an organization capable of producing approximately tons ingot annually, making it the second largest steel producer in the country. What this merger would do for Bethlehem it could do for Republic Steel corporation, a company recently formed through a series of acquisitions and a factor in the industry. Hence, Republic is easting longing eyes toward the Youngs-town company. Cyrus S. Eaton, Cleveland financier, who was a factor in the development of Republic, is said to control 20 per cent of the Youngstown company's voting slock and to have tho support of otier late stockholders.

Eaton and his associates asked the directors for more time to think over the Bethlchem-Youngstown merger, but this was denied bv vesterdav's action of the stockholders ul which a proxy battle was to have been waged, on March 1M, bud been cancelled. In addition, it is reported in financial circles, that a shaip fight may ensue for control of Jonos and Laughlin. one of the largest independent units of the country. Regardless of the outcome of the proposed Bethlehem -Youngstown consolidation Jones and Laughlin, with assets of S210.lKHl.tHH. would be much sought after.

It is also common gossip, that eventually Republic may seek to take over Inland Steel, with assets of $101,000,000 and Colorado Kuel and Iron with $80,000,000 assets. Meantime, it is pointed out that U. S. Steel, with assets of more than all the independent producers combined, may do some acquiring on its own boards. As a result of this, the Eaton group announced from Cleveland that it would immediately start ac-j tion to thwart the Uelblehem-j Youngstown merger.

The announce-I ment said further that a proxy com-j ir.it tee tepresenting Youngstown and Cleveland interests would be orgau-j ized to fight the project and that it would start its bid for proxies. Undaunted, however, by the tem- porary setback occasioned by the action of the Youngstown-Bethle-; i hem directors, the Republic com-; pany moved ahead in its effort to I maintain and increase its present prestige. Announcement was made that a controversy with certain stockholders of the Gulf States Steel company of Birmingham, had been settled, paving the way (or a meiger with Republic.
