Telegraph Company and Jay Gonld against John Moors ft Co Geo Baker and others and the Mutual Union Telegraph Company and Central Trust Co of New York to restrain defendants from carrying out nn alleged eons piracy 10 thwart the fulfillment of agreement entered into between plaintiff and the firm of John Moon ft Co acting on behalf of all the defendants In July last Boscoe Conkllng Wager 8wayne Barton Harrison and Cory appear for the plaintiff and ex-Judge Green Robert Sswnll A Baker Simpson and Wm Gulliver represent the defendants Mr Harrison recited tha tact of the complaint It charges that Geo Baker contracted to purchase from Moore ft Co 7000 shares of Mutual Union stock at 95 per shore and It was afterwards agreed between Baker and Gonld who was acting far himself and tha Western Union company that he and Gonld should bny interest in the contract and ha took ana paid for a number of shares He and Baker contracted with Moore ft Co actlag for all the dcfendantefor thefpurchsse of 8500 other shares when an lajnnction then operative should be removed tt 95 per share and 10 000 other shares at 10 per share I If was farther agreed between all parties that Gonld and Baker as trustees should hold 30000 shares of the Mutual Union and those Interested in the trust should bny 50000 of Mutual Union bonds at 80 per oent of par each party contributing in proportion to bis interest Gould pur-ebased 18500 shares of tbe stock tbe Western Union buying 933000 ot the bonds Tbe object iff tbe agreement waste control under tbe trust a majority of tbs stock The counsel contended that the defendant in absence conspired to defeat tha agreement and place tbe control in tbe bands or Baker Ballon and Potter as trustees so that they eonld borrow money on the stock by hypothlca-ting it the money to be used not in tbe interest of the plaintiff He demanded that Baker be removed and receiver be appointed Mr Gulliver read an affidavit of John Moore In reply In which be denied tbe agreement and charged that Gonld was acting fat himself and not for the Western Union ana he did not know that the company was in any way interested He ekimed that the Union was not a purchaser of tbe bonds bat that Gonld bought them himself Mr Conkllng suggested that reference be ordered to enanlra into the facts Judge Barrett replied that If reference were needed he should dissolve tbe Injunction and then the ease would go to special term The Attorney -General says from the documents printed It appears that tha Mutual Union Tele-rraph Company was organised October 2 1880 re a certificate filed by 8 shareholders and asso cutes which certificate elated tha capital stock to be 8600000 divided into 60000 of 810 each The certificate forther proved that by vote of trustees from time to time capital stock might be increased by the Issue of 8000 additional snares of 9108 each By certificates made tha 3th of Sept 1881 and tha 13th of Feb 1882 tha directors who am the same as tha original associates with two exceptions certify lag that the capital stock has been increased to 910000000 divided Into 100000 shares of 9100 each This Increase In the opinion of the
