THE MANCHESTER EVENING NEWS, FRIDAY, ALLEGES SHINS WERE KICKED £2,659,000 for Imperial Airways in Merger SIR KINGSLEY WOOD, Air Minister, gave the House of Commons to-day financial details of the proposed amalgamation of Imperial Airways, and British Airways, in one corporation. Subject to the approval of Parliament, the Government were prepared in consideration of the taking over by the proposed corporation of the assets and liabilities Airways as from March 31. to approve the payment to the company of such sums as would permit the payment of 325. 9d. for each ordinary share of This sum would amount to £2.659.086.

Interest would be allowed on the purchase price at the rate of 4 Per cent, less income tax. as from March 31, 1938. Advances Repaid With regard to British Airways the Government were prepared, in consideration of the taking over by the corporation of the assets a liabilities of the company as from September 30, 1938, to approve the payment to the company of £262,500. Advances which had been made by the principal shareholders, amounting to £311,000, would also be repaid, and interest would be allowed on the purchase price and such advances at the rate of 4 per cent, less income tax, from September, 1938, to the date of payment. Shares which British Airways hold in two internal air line companies were not comprised in the sale.

It was estimated that the holders of British Airways shares would receive a total amount of auproximately 15s. 9d. for each £1 share. The Boards of the two companies were recommending the acceptance of these offers to the shareholders- Replying to Mr. Shinwell Seaham) Sir Kingsley said the details of these offers had been the subject of very careful examination.

Consultations had been held with the Treasury and it was thought that these offers were fair and reasonable. The Government must now wait and see if the shareholders would accept them. Shares Jump Imperial Airways shares shot up 3s. 3d. to 32s 6d.
