cents 8prrlal tr Daily News Danville Va July An Important opinion was handed down today by i Judge Richard Ker of Staunton Sit ting at Chatham his decision In the suit instituted by Thomas Branch against the Dan River and Riverside Cotton' MIU corporation of this city 1 being the first In the state bearing on 1 a particular phase of corporation law Tn his opinion the rights of the cotton mill concern In allowing the plaintiff 1 th? right of subscribing to a new is I sue of common stock pro rata with the preferred stock held by him Is fully maintained I At the meeting of the cotton mill stockholders three fourths voted to amend the charter amt to in crease the capitnllzatlon tho directors being authorized to sell $2600000 of common slock to common stockholders only exclusive of preferred holders The price was fixed below tho market value of common stock Branch owning about Jooo shares was not present nor represented and later made demand on the company to bo allowed to subscribe to the common stock because the concern owned pre ferred stock The company refused to accede snd Branch then Instituted suit against the mills to be allowed to buy one share of common stock to each share of preferred held claiming under the Virginin law and charter that the directors did not have the right to limit the rights of subscribers to the com mon stock only but that both had equal rights The mills through counsel filed de murrers contending that under the Vir ginia law the directors of a corpora tion have the right to sell stock to the best interest of the corporation Ar guments were heard last January by Judge Ker here and he took the case under advisement In his opinion rendered todayc the court holds that the plaintiffs did not make out a case under the law of Vir ginia and the charter of the mill Lhe directors acting in good faith had the right to sei! the stock in such a way as the directors considered best in lheinterest of the concern and that there fnrs the bill is dismissed at the cost nt the plaintiff These costa are not very high according to Harris who represented the local textile or ganization The decision hits been awaited by lawyers in various quar tern with Home interest as it is the first time the Virginia court has passed on this question of the rights of direc tors Jt is thought likely that the case will be taken to the Virginia court of appeals owing to its Importance HIIKOHY 1 HR IN CRITICAL COM HI' ION HIM I A ENT (Special to Dully New) Hickory July 26 Mrs orrest BlekH wife of a Hickory dentist con tinues In a critical
