quarter it was painfully clear the demand for tankers was not going to revive Early in December Burmah commissioned an independent investigation into its tanker operations The initial findings were sufficiently ominous for Burmah directors to turn for aid first to the -Bank of England and then the Department- of Energy Meetings took place' just before Christmas and an agreement was concluded on Dec 31 when the Bankoif England insisted on an immediate public statement delayed on the day only until the principal American and Canadian stock markets were dosed The core of the agreement effectively is a grace in which Burmah assisted by Peat Marwick Mitchell in its financial management will -endeavour to become a viable and clearly much smaller entity Whether Burmah will continue as significant international oil and tanker companv is open to doubt Much will depend on the detailed findings of Peat Marwick Mitchell during the next six months Burmah is currently negotiating the sale of Great Plains Development a Canadian subsidiary for close to $100 million (about £44 million) in cash The buyer is a Calgary company -Canadian Industrial Gas and Oil Last week Burmah sold Its 13 per cent interest in Albatros an Antwerp refinery to the German chemical group BASF for between and £5 million tThese deals are part of a programme of pending realisation of certain major -a key phrase in the agreement now reaohed with the Government and the Bank of England US operation The crucial question Is whether Burmah will have to sell Burmah Oil and Gas formerly Signal Oil and Gas the important Houston-based American oil exploration and trading company Bought just under a year ago for $420 million (about £183 million) net A gave Burmah the substantial American operation it badlv wanted It is alreadv established as the most profitable unit in the Bur- ma groUp The New Eve statement concluded with the hopeful paragraph: completing these dispositions the company will continue to own substantial interests in the United Kingdom and overseas The company will pursue the development of its important North Sea interests in particular in the Ninian and Tliistle But for the present we shall have some indication today of the degree of foreboding the stock exchange and also the foreign exchange market will read in this sudden and sad end to attempt to join the big league Sea oil talks P'7 City -P15 Editorial Comment P12 LAME DUCK By ROLAND GRIBBEN Continued from Page 1 turers as well as the vehide producers are also feeling the squeeze Lucas has already introduced short-time working and 1 more suppliers plan to follow because of the sharp fall-off in demand Mr department is processing an increasing number of applications for help particularly from small and medium sized companies but it will be some time before the planned National Enterprise Board is in business to handle the workload The present situation involving the major aid candidates is: BRITISH LEYLAND: The Government has already guaranteed assistance of up to £50 million to cover bank borrowings while a team headed by Sir- Don Ryder chairman-designate of the National Enterprise Board reports on the future Estimates of the needs mainlv to finance the ambitious £500 million investment programme vary between £100 million and the Government may end up in control FERRANTI: A financial report on the family-owned electronics company is awaited by the Industry Department indications are that Mr Benn wants a holding of around 40 1 per cent in the company in 1 return for assistance while the Ferranti family is holding out for 25 per cent or less ALFRED HERBERT: A joint report from a management union and Government group reviewing future financial needs has made quick progress The company is resigned to the Government taking majority control and believes it needs around £14 million to put its house in order Jo addition Mr Renn has promised starting aid for a series of co-operatives and has overruled the Industrial Development Advisory Board which said the investment 'could not be commercially justified The most protracted arrangement involves the £4-9 million to launch the co-operative for the Meriden motor cyde works Opposition from some of the workers has produced delays and Mr Benn has been under pressure to nationalise the motor cycle industry and make a fresh start The co-onerative at the Scottish Daily News has been promised £17S million if it can launch the new paper by Feb 28 The I (Industrial) co-operative on Mersevride has been offered £3-9 million and proposals are being considered for a co-operative at Propytex in Hartlepool Industrialist have expressed conrem that Mr encouragement of the co-operatives will lead to a new outbreak of sit-ins when redundan- ties and plant dosures are per cent of the share capital of Shell Transport and Tracking) are passing to the Bank of England ap security for loans the Bank is making to Burmah with the right of realisation In other words- they are not going to swell the stake in BP making 486 per cent into 70-1 per cent and into a nationalised oil company Sir Eric Drake BP chairman said yesterday we have been a hit worried about ability to produce the necessary capital for its to the Ninian field We have been in close touch with them and knew thev were in trouble bnt I would have thought that the new situation with the Government acquiring a share of Ninian would-help them to raise their share I am not at all Sir Eric added it has nothing to do with BP I am not apprehensive because I have talked to the Government since and as far as understand there is no intention of interfering with It is merely that thev are trving to tide Burmah over the difficult situation they are The difficult situation explained the Burmah New Eve statement arises from a sharp downward revision of profits expected for L974 largely due to the tanker onerations which are now expected to show a substantial Small profit Burmah mav maka a small for 1974 but the company will not pay a dividend for the year beyond the interim dividend of 8p a share already declared and payable on Jan 9 -The fall in profits means that the company is failing to comply with certain technical provisions relating to covenants and ratios in loan agreements with American bankers totalling $650 million which Burmah made to buy companies and other assets overseas Furthermore the precipitous drop in the value of shares from 534p at the beginning of January last year to perhaps 208p now affects the security attached to £54 million of 82 per cent unsecured loan stock 1991-96 Both the dollar loans and the 8J2 per cent stock after discussions with the trustees may have to be paid off This is the purpose of the I ink of England proposed Bank loans to Burmah Chase Manhattan and Orion have already indicated their readiness to renegotiate the dollar loans as 12 months borrowings guaranteed by the Bank of England The Bank has also offered to help Burmah deal with its sterling borrowings I would stress as the company does that there is fio question mark against Burmah ability to pay all interest and principal due on its joans other money market borrowings Dealings in all Burmah listed securities on the London Stock Exchange have been suspended the time Meanwhile certain changes will be made in management and a full of the tanker operations undertaken Likely casualties The first casualties" in management are likely to be Mr (Nicky) Williams managing director and chief -executive and Mr Elias Kulukundis president of Burmah Oil Tankers Mr Williams returned to London in 1961 to become the supreme architect of ambitious attempt to re-establish Burmah as a major oil trading manufacturing and commercial group in an industry dominated by the giant American oil corporations Royal Dutch Shell and British Pero-leum This ambitious brave and his critics would say foolhardly experiment has' finally failed The immediate cause of difficulties is the sub-stanial loss in 1974 on its tanker operations In 1973 Burmah Oil Tankers contributed about a third of the net operating profit of £48700000 Mr Kulukundis whose previous projections since Burmah decided to move into oil tankers in 1968 had been -impressively accurate dung to his belief that the demand for tankers to ship oil would recover from the disastrous drop recorded early this year pretipkated by the Arab-Israeli war the crude oil shortage and the fall in oil I DEATHS (Continned) Oo Dec 31 'Tun-brhige VecilB iiureing bums Rmv tLLH Alueovu
