Center, a stockholder In the Contra Costa Water Company, has commenced ujt In the San' Francisco Superior Court through her attorneys, Baggett. Jones Sheridan, against the directors of the corporation to compel an accounting tor $295,000 expended by William J. Dingee, president of the company, by authorization of the following resolution adopted by the Board at Directors on April 7, .1903: i "Whereas, question hod arisen as to the validity of the title of the Contra Cgsta Water Company to certain of its realty and other holdings; and whereas, many emits are threatened against the Contra Costa Water Company on account of such alleged defects in title, and expensive litigation Is likely to ensue; therefore, be it "Resolved, that there "be, and there hereby is," put Into the hands of the president of 1 the Contra Costa tVater Company the sum of $300,000, any part or all of which sum he is hereby authorized to expend in the purchase of outstanding titles, for the compromise of prospective litigation, and In other manner-that he may deem best to protect the interests of the com pany and secure it In Its titles to the property in question." A second authorized the payment to Mr. Dingee the sum of $295,000 reimburse him for an expenditure to that amount for the purposes specified in the first resolution. In her complaint Mrs.

Center alleges that this money wls misappropriated She names the corporation and the fol lowing directors as defendants: WH- HamV J. Dingee, Charles Bemls, Thomas H. Pheby, H. G. Stevenson, A.

H. Winn and A. W. Rose. The plaintiff alleges that she has been unable to find any vouchers showing how the money waj expended, and avers that Edward McGary, the secretary, Informed her there were none on file In his office.

She recites that she served the directors with notice of a demand that they bring suit against Mr. Dingee to compel him to refund the money, which demand not being complied with after the lapse of thirty days, the present action has-been In stituted. The plaintiff alleges, on her lnforma- sion and belief, that no question whatever as to the validity of the titles of the Contra Costa. Water Company to any of Its realty or other holdings and that no suits were ever threatened, and she believes that no partr of the $295,000 was ever paid out for the purposes enumerated. She also-sets up a general allega tion that the stockholders were defrauded in the purchase of the Pinole Creek water rights.

The officials of th Contra Costa Water Company view the suit wlh apparent unconcern, though they decline to discuss the matter. Mr. Dingee re ferred the matter to his attorney, Gar. rett McEnerney, who briefly dismissed all inquirers with this statement: "All we have to say is that the matter will be fully met in the courts." Mrs. Center is the lady who created something of a.

sensation by addressing the court in her own behalf as an Individual stockholder when the application of the Contra Costa Com pany for an injunction against the City of Oakland was being heard before Judge Hanfori Sh purchased a. block of stock when' the company was pay-? ing dividends and has been exceedingly restive since dividends ceased and the s'tock declined selling value by reason of hostile EDGAR ESTATE READY FOR HEIRS A decree of final distribution of the estate of the late James Edgar niz signed by Judge S. P. Han this morning and the accounting of Susanna I Edgar of her administration was approved. The estate was appraised at $30,180.15 and after paying the expenses of administration, funeral expenses and collateral inheritance tax there now remains in the hands of the administratrix the sum of to be distributed as follows: To Archibald Edgar, a brother of deceased: to Susan Davis, a sister, to Robert Edgar, a brother, to Margaret J.

McDonald and Sarah Jensen, $1, 085.25; to James Edgar, Margaret J. Kitto, Arthur Edgar. Charles Edgar and Archibald Edgar, nephews and nieces, to each of them to Margaret Davies. Alice Bradley, Emma Gilson and Richard Davies, nephews and nieces, to each of them $284.85: the remainedr of the estate, being one-half to Susan, I Edgar, the widow of deceased, who Inherits $6,836.56.
