Helmsley, who calls rental, housing an impossible business to be in, is negotiating to sell off a second of his apartment buildings in the Tudor City complex, a spokeman said yesterday. The building for sale, the 215-apartment Manor at 333 E. 43rd St, was being considered by a firm that specialises in conversions to cooperatives, said Helmsley spokesman, Lee Estes. He said that Helmsley, 74, believed he was doing too many conversions and that he would rather sell his Tudor City holdings.

The buildings conversion would further reduce the declining stock of choice rent-controlled or stabilized housing in Manhattan. Helmsley sold the 62-apartment Hermitage at 330 E. 43rd St, for $3.3 million last February. Alvin Schwartz, one of Helmsleys partners, said Helmsley headed corporations that owned eight buildings in the Tudor City area, which is bounded by First and Second Avenues and 40th and 43rd Streets. Built in the late 1920s in the English Cottage style, the apartment buildings were bought in 1971.

Estes declined to identity the company negotiating for the Manor. The state attorney generals office has to approve conversions to cooperatives or condominiums. Helmsleys conversions include the Park West Village on Central Park West, north of 97th Street, and the Parkchester apartment complex in the Bronx, which has 12,270 apartments.
