Services announced by FRESNO FUNERAL CHAPEL. over the nation today. Showers continued over the lower and mid Mississippi valley into the Ohio valley, Tennessee, Michigan and the states bordering the lower Great Lakes. There were some showers in Florida and along the South Carolina coast and a few showers in western Washington state. Skies were clear over most of Texas westward through the southern plateau region.

Fog formed in parts of lowa and portions of adjacent states and in northern Kansas. Some drizzle and fog was reported in western Illinois and southern Louisiana. Temperatures were in the 40s and 50s along the northern U.S. border and to the 60s and 70s along the Gulf Coast. Today's forecast called for cloudy or mostly cloudy skies and scattered showers over northern New England and the lower Great Lakes through the Ohio and lower Mississippi valleys.

The suits had charged the company and certain of its former officers and directors with issuing misleading financial statements that caused Mattel stock to be traded at artificially inflated prices. The agreement announced Monday is subject to the approval of the US District Court in Los Angeles. It provides for a settlement fund to be distributed to shareholders who acquired Mattel stock between May 1, 1968 and Dec.

31, 1974. "The fund, of $7 million in cash, $23 million in notes, debentures and warrants, is to be provided by Mattel and several of its insurance carriers. The complex pact, which was agreed upon by attorneys for the company and the plaintiffs, did not include the accounting firm of Arthur Andersen Mattel's former auditors. Anderson was also a defendant in the lawsuits. The agreement assigned all stockholder claims against Andersen to Mattel, and the toymaker said it intends to prosecute its claims against the accounting firm.

Among the plantiffs ere former shareholders of Ringling Brothers-Barnum Bailey Combined Shows, who received Mattel shares when the circus company was merged into a Mattel subsidiary in 1971. A similar suit was filed by shareholders of Metaframe a maker of fish tanks and related equipment, which was acquired by Mattel in 1969. Arthur S. Spear, Mattel's president and chief executive officer, said the firm had agreed to the settlement to avoid possibility of greater liability as the result of litigation. He said that Mattel's chief lenders had been advised of the settlement.

The agreement provided that Elliot and Ruth Handler, the company's founders, contribute two million shares of Mattel common stock to the settlement fund and reimbuse the company for attorney's fees. The Handlers are no longer with Mattel. Seymour Rosenburg, a former executive vice president and chief financial officer, also agreed to reimburse the firm for attorney's fees, contribute $100,000 to the settlement fund and cancel a severance agreement that would have paid him $45,000: a year through 1987. Burger Ponders Racial Job Issue Chief Justice Warren E. Burger is concerned with the rights of white employes who may be "bumped" from.

their jobs if black victims of discriminatory hiring get retroactive seniority. "How do you justify taking anything away from Peter to pay Paul when each is innocent of any wrongdoing?" he asked Morris J. Baller of New York, an attorney for the NAACP Legal Defense Fund. The question was one of several similar ones the Chief Justice addressed Monday to lawyers arguing the first of what will probably be a series of cases on the conflict between rights accorded blacks and women under recent federal statutes and seniority systems built up by unions. The test case, started by blacks against Bowman Transportation concerned the refusal to hire over-theroad truck drivers for racial reasons.

All agreed that in this particular case, no "bumping" is likely to occur because of the rapid driver turnover. Bowman has main ter- Richmond. The issue is solely whether applicants who have been discriminated against but are eventually hired should have seniority as of the date of their rejection. As for displacement of "innocent" white employes, Baller said Congress intended in the 1964 Civil Rights Act 1 to put all employes on an equal footing. The black victims would have had seniority rights and the whites would not if the law had been followed, he said.

Justice William 0. Douglas was on the bench for the day's arguments looking no worse for his few days in the hospital last week. He asked no questions of the lawyers, but he has never questioned attorneys intensively during arguments. The justices agreed to decide whether Presidents Nixon and Ford acted outside the law when they imposed import fees on crude oil and oil products. No date for arguments was set on the government's appeal from a lower court decision that the chief minals in Atlanta, Bir- executives were wrong.
