business the foundation on which his estimated at more than a billion was built The sale to be made through a public offering of common stock will bring Hughes as much as $140 million The stock offering will be the first time that any company entirely ownde by Howard Hughes will be in anyone hands It was unknown why the rich recluse who was reported last living in Vancouver BC decided to sell the company he inherited from his father in 1924 Hughes could not be reached He will still own hotels and gambling casinos in Nevada a helicopter manufacturing company and Hughes Airwest a regional airline In addition he will continue to control Hughes Aircraft Company an electronics concern with an estimated $500 billion in sales The decision to sell the oil-well bit business was disclosed in a registration statement filed by the Hughes Tool Company entirely owned by Hughes with the Securities and Exchange Commission In the complex corporate maneuver the oil tool division of the Hughes Tool Company will become a new corporation carrying that name The other parts of what is now Hughes Tool will be retained by the Summa Corporation a new concern whose stockholder is Howard Hughes Hughes will own no interest in the new oil-well bit company after the proposed public offering The stock sale expected next month will consist of 5 million shares priced at a maximum of $28 a share The offering will be made by a syndicate of investment banking firms headed by Merrill Lynch Pierce Fenner Smith the same firm that managed the sale of $5465 million shares of Trans World Airlines stock for Hughes in 1966 In the preliminary prospectus the oil tool division showed sales of $822 million last year and earnings of almost $43 million The Houston-based Hughes Tool Co which employs more than 3000 persons is the largest manufacturer of oil and gas well drilling bits The oil well bit which sent the Hughes fortune on its way has had worldwide use and the company has
