By sheer coincidence (or was it) both companies recently began a new snack food under virtually the same Pringles name beat General Foods to the marketplace by a few months The company brought out its "Pringle's newfangled potato chips" in 1 111111illi II By RICHARD PANZERA Businwis Writr Square II Industries of Dallas has agreed to acquire all of the assets of the Alexander Sand and Gravel Co of Olney The acquisition which was for an undisclosed amount of cash was jointly announced by Robert Ditto Square II president and Alexander president of the Olney Company Assets included in the acquisition are three leases of sand and gravel reserves a truck fleet conveyor system and related production equipment The stakes are tremendous for both firms Snack foods are a booming business perhaps S3 billion a year product marks its entry into snack foods and potato chips already MONO-ayer business at retail There is plenty of competition with more than 200 potato chip makers Some firms do very well Chicago-based Jays Foods a strong regional marketer for example posted a 11-per cent gain in potato chip sales last year Meanwhile other firms are eyeing the market General Mills is bringing out a snack called the French Fried Potato Crisp The company says this snack has the crispness of a potato chip unresolved as both companies are tight-lipped on the subject A General Foods spokesman said "we're working out a settlement said it had reached an understanding with General Foods and "We anticipate they will change their name after est-- ma rket" Meanwhile both firms have agreed to promote their product names this way in test: "Pringle's" and General Foods "Pringles" General Foods won't say how its snack is thing in test canned potato chips reportedly has fared well proposed a public offering of common stock A prospectus filed with the securities and exchange commission calls for an issue of 346000 shares to be added to the 150000 shares nlw held privately The price of the public offering is reported to be $1750 per share although this is not stated in the prospectus The price could be less The estimated $405 million to be raised from the public sale will be used to pay off a $24 million loan and to retire part of all of $35 million in 7 per cent subordinated notes The remainder will be added to the working capital of the circus which has corpo rate headquarters in Washington Upon completion of the offering the public will own only 176 per cent of the c5mpany and will incur an immedime dilution in the book value of its stock The prospectus says no dividends will be paid The present shareholders in contrast will have an immediate increase in the value of their shares from the present $111 per share book value Because the exact price of the public offering has not yet been set the precise dilution and increase cannot be determined Chairman of the board Roy liofheinz also holds stock purchase warrants to buy 1554000 shares at an exercise
