"Outside of the camera crew necessary for the filming of scenes with nudity, no other persons shall be allowed on the set," the memo said.

Miss Fairchild agreed to change the starting date for production, but the suit did not state whether she agreed to allow Curtis to watch the nude scenes. Miss Fairchild's attorney, Rick Shaffran, refused Tuesday to comment on the suit, saying only that everything was on record in court. A man who answered the phone Tuesday at Zupnik-Curtis Enterprises in Los Angeles said Curtis and Tokofsky were conference and could not come to the phone to talk about the suit. Miss Fairchild seeks $2.5 million in general damages, and $10 million in punitive damages. The suit said she was to receive $350,000 for the film, plus $100 per day for seven weeks of shooting, as well as $70,000 plus 5 percent of the film's net profits.

SANTA MONICA, Calif. (AP) -Actress Morgan Fairchild has filed a $12.5 million breach-of-contract suit against two producers, alleging one of them demanded to watch her shoot nude scenes. In the suit, the star of television's "Flamingo Road" contends that filming of the movie "Skins" was to start in September, but producers Bruce Cohn Curtis and Jerry Tokofsky on July 12 denied having a contract with her. The lawsuit says they sought changes in the June 15 contract with Miss Fairchild. The changes included a different date for the start of production, and an agreement that Curtis be present when Miss Morgan filmed nude scenes for the movie, the lawsuit said.

Included with the suit, filed Friday in Los Angeles Superior Court in Santa Monica, was a copy of a memorandum from Miss Fairchild's agent to the producers that listed conditions liienen BpgI 3nm ciwuev fox DAILY FINAL 8 DAYS'. (AP) Entertainer Wayne Newton will be teaming up with Paul Lowden in the ownership of the Sahara and Hacienda hotels, sources have told The Associated Press.

The details of the purchase have not been released pending finalization of a possible public stock offering. Lowden has refused to confirm the deal, saying only that discussions are underway. Reached in New York City Tuesday night, Lowden said he would be "pleased" if Newton would join his organization, but added there was "no difinitive agreement." Sources close to the deal say Newton may perform as many as 20 weeks at the Sahara in 1983, beginning early next month. He will also continue to perform at Caesars Palace until Caesars opens a production show in May. Newton entered the hotel business with Ed Torres two years ago, purchasing half interest in the Aladdin Hotel.

That deal fell apart months ago following disagreements between the two men, and Torres bought Newton out. Newton had invested $9 million in the Aladdin deal and was repaid $11 million by Torres. One source, who asked not to be identified, said the Sahara would be expanding its live entertainment program for the well-known Congo Room reversing a Las Vegas trend toward production shows. The same source said it was hoped a new, larger showroom could be built at the Sahara within the next year. Lowden, who has owned the Hacienda for years, purchased the Sahara from the Del Webb Corp.
