Newton cited a "potential conflict for other possible hotel acquisitions" as the prime reason for ending the proposed venture.

Sources close to Newton reported last month that the entertainer would become a partner with Lowden in the two Strip hotels and would be performing at the Sahara as much as 20 weeks a year. Thursday's statement said Newton would no longer perform at the Sahara. He was scheduled to begin a week-long performance Thursday night, but that engagement was cancelled. Newton remains under contract to Caesars Palace through 1984. Lowden denied that there was any firm deal, saying a possible merger had never gone beyond the talking stage in the first place.

"It just didn't materialize. It didn't work out," Lowden said. "We just didn't get together. I think Wayne is looking for a place to buy into and perform there." One source said Thursday that Newton was looking into the purchase of one and possibly two other Strip properties. They were not named.

Newton recently announced the formation of Wayne Newton Resorts a nationwide chain of time-sharing resorts. Newton began performing in Las Vegas as a teen-ager in 1957. He purchased the Aladdin Hotel with Ed Torres in October 1980, but that partnership ended in a bitter split 21 months later. Torres and Newton are currently suing each other in connection with that split. HELD OVER! TH CO-HIT!
