Gulf Western said it hcliev- Sinclair stockholders should lave the opportunity to "make he i a decision on a matter as mportant to their interest as the Gulf Western offer." O. P. Thomas, Sinclair presi- lent, today released a letter to Sinclair stockholders, dated Oct. 0, opposing the Gulf Western offer. "Your management firmly be- ieves that the proposed offer not in the best interests of Sinclair, its stockholders and mndholders, and it is the present intention of Sinclair to vigorously oppose the tender of- 'er should it be made," the let- er said.

Sinclair Sees No Gain The letter said further: "Gulf Western would bring no financial strength to Sinclair and no experience or assets in oil industry, "ft is estimated, based on mblic information, that Gulf might be issuing as as $1.5 billion of debt in form of convertible subordinated debentures to fully acquire outstanding Sinclair stock, bringing the total debt structure of Gulf Western and subsidiaries to approximately SI billion. This capitalization in the opinion of your board would result in a highly undesirable financial structure." After Gulf directors approved the tender! offer, a Sinclair spokesman said Sinclair had no "comment beyond the stand expressed in the letter to stockholders. Gulf Western is engaged in mining, the manufacture of chemicals, automotive parts and agricultural products and the production of motion pictures and television films. Its sales totaled $644.9 million in 1967. Atlantic Richfield's 1967 sales totaled SI.

6 billion and Sinclair's sales last year amounted to $1.5 billion.
