Disney will pay an undisclosed sum estimated by one source at $150 million to $200 million for all of the assets of New York-based Henson Associates Inc. These include an extensive library of television shows and movies, merchandising rights and a 15-year contract for the creative services of Henson himself. Hes almost like a creative designated hitter, Michael D.

Eisner, Disneys chairman and chief executive, said in an interview. Its the kind of acquisition we like to make, he added. Weve not made a lot of acquisitions in the past few years, but if we can make one in an area that attracts enormous creative talent, thats what its all about Analysts said the companies would make a perfect fit For Disney, it would mean a whole stable of recognizable characters to be exploited in television, movies, theme parks and merchandising crucial to a character-driven company whose only major new player is Roger Rabbit It is believed to be the first time Disney has gone outside the company for non-literary characters. An added benefit: Hermit, Miss Piggy and Fozzie are perhaps as well known abroad as Mickey, Minnie and Donald and would aid acceptance of Disneys planned Euro Disneyland near Paris and other foreign projects. For privately held Henson Associates which has had mixed fi- nancial success lately with increasingly unconventional projects the deal offers Disneys deep pockets for developing feature films and TV programs, clout from Disneys television' syndication arm, and access to Disneys pay cable television channel.

The agreement in principle, announced Monday at the Disney-MGM Studios Theme Park in Florida, also frees Henson himself from the worries and financial burdens of distributing, merchandising and Kermit, Miss Piggie, Gobbo Fraggle, Big Bird and many of the Muppets will be joining ranks with Mickey Mouse and his friends in a business agreement announced Monday by Walt Disney World and Jim Henson, right, creator of the Muppets. Those characters are part-owned by the shows producer, the Childrens Television Workshop, although Henson created them and will continue to perform in the show.

For the Disney organization, Henson and his company will produce movies, network and off-network television programs (including shows for the cable Disney. Channel), home video programs and Muppet attractions for Disney theme parks. Some cities, the report said, already are taking steps to deal with the problems: Jacksonville, in cooperation with Barnett Bank and the state Department of Health and Rehabilitiative Services, developed a program to train mothers on welfare to operate family daycare homes. In Spokane, a Teen Pregnancy Prevention Task Force has sponsored an annual conference for teens on sexuality and is working on a community action plan. Boise, Idaho, funds 10 apartments and places homeless families with children in them for up to two months rent-free.

In Oakland, Calif, an advisory council of children and adults advises the City on young peoples issues. 1 Before stumbling into this thing, neither I nor Martha were great believers in the existence of such objects, Giovanelli said. But this cloud indicates that the discs of galaxies can form slowly throughout the history of the universe and not just be something that happened during some magic period in the distant past Giovanelli and Haynes found the cloud while calibrating detectors A -v The first project is a 3-D film attraction featuring Kermit and the Muppets, to debut in May at the Disney-MGM theme park in Florida, said Jeffrey Katzenberg, head of Disneys film uniL A version of the attraction is expected to ap- pear at Disneyland as well Disney also gets the rights to Hensons library of films and tele-vision programming, which in- eludes the Muppet Show and Fraggle Rock TV series, Jim Hensons Muppet Babies" animated childrens show, as well as the three Muppet movies and two other films. From coast to coast, cities are working on these issues in innovative ways, the report said. They predict their involvement will increase over time except there is no money to support expansioa One city out of four is significantly involved in child care and, the report said, that is expected to increase to one in three during the 1990s.

The study covered 278 cities with populations above 50,000, and 112 smaller cities. i Moran said the survey of larger cities, covering 60 percent of all those in the nation, was much broader than that for the smaller communities. Most of the findings run parallel for the smaller cities and can be regarded as generally good indicators, he said. attached to the dish radio telescope at Arecibo. For calibration, they pointed the dish at a region of the sky thought to be devoid of objects and found the characteristic radio signal of hydrogen.

Its certainly a nice acquisition for Disney in that it will extend upon their current repertoire of childrens programming and characters, said Jeffrey Logsdon, director of institutional research for Crowell, Weedon Co. in Los Angeles. Im sure theres multiple benefits in both film production and on the theme park side from having licensing rights to these characters. Except for Kermit the Frog, Disney would not acquire rights to the Muppet characters that appear in reality that should awaken our national conscience, said Moran, chairman of the Leagues human development policy committee. In cities between 50,000 and 100.000 population, alcohol and drugs were rated as the second most pressing issue, named by 48 percent of those questioned.

The hydrogen cloud was found by Riccardo Giovanelli, adjunct professor of astronomy at Cornell University and head of the radio astronomy group at the foundation's National Astronomy and Ionosphere Center in Arecibo, Puerto Rico, and co-worker, Martha Haynes, associate professor of astronomy at Cornell. WASHINGTON Officials of U.S. cities say they need real commitments from the federal government to deal with problems affecting children, including child care, drugs and teen-age pregnancy.

We need help, and we need it now," said James P. Moran mayor of Alexandria, Va.t and a member of the National League of Cities. We also need real commitments over the long run, not the kind of federal aid that is here one year and gone the next The League released a 390-city survey Monday that found officials in nine of 10 cities regard child care as the most pressing need among childrens issues.
