At tho request of tho opposing counsel Judge Arnoux said he would arxue that they had established the right to have the contract carriod out aa agreed and to have tho certificates of stock executed by tho companies aud deliverod to olaintilf at 10 per cout. that tho dividouds at 10 per ceut. should be transferred to the New York company aud per cent, be paid now anil 4 pur as soon as collected, aud that the August, 1834, agreement waa collusive and fraudulent and not binding ou tho plaintiff, as a non assenting stockholder. The plaintiff would put iu the charter, showing that it wan for ninety nine whereas the leases woro for years and tho transfer left no remaining interest of any description and was therefore Illegal. Counsel summed up and decision was reserved.

After recess yesterday the trial of the suit of JameB Bevoridge against tho New York Elovutod Hallway Company and the Manhattan Hallway Company was resumed before Mr. Justice Culleu in tho Supremo Court.

Plaintiff sues to recover $3,500 back dividends on 100 Bhares of Btuck of tho Now York Elevated, which bore tho agreement that tho Manhattan should pay 10 per cent, on tho $6,500,000 capital stock of the New York for the lease of its road. He applied for the dividends and was told that ho could receive them only at tho reduced rato of per cent, and on condition of his exchanging his Now York stock for Manhattan bearing tho modified agreement of per cent instead of 10. This he declined to do. Tho Manhattan Company was formed aud agreed to lease the Metropolitan and the Now York roads at 10 par cent, on their capital stock. After a timo the Manhattan wan alleged to be insolvent and a receivor was appointed.

Subsequently in May, 1834, tho agreement fell through and tho road.1 were run on their own behalf until Auguat following. At that time, it is alleged by a collusive agreement, the directors of tho New York were changed, and a new agreemont was made with tho Manhattan at per cent, and tho uon assenting stockholders wore frozen out. Tho examination of Mr. MeWilliams, tho treasurer of both companies, was continued. He said the net earnings of tho Now York from May to July 1, 1834, was 429,209.23.

Tho intorost on tho bonds at per ceut was paid out of this, leaving a surplus of which is iu the treasury of tho company. The surplus is over $240,000 above all claims. Tho witness subsequently changed this statomont Rep, No othor dividend oxcopt the IX Por coni, has been paid. That dividend had not been paid to stockholders who had not assented to receive tho six per cent. Instoad of tho ten.

Ho could not say whether any one who had refused tho six per cent, had asked for ten per cent. Tho agreements of August, 1884, wore drafted by Mr. Fiold and approved by Mr. Evarts, Aaron Vaudorpool and Mr. Lodyard.

Mr. Ledyard represented the Metropolitan. He could not say by whom tho other counsel was paid. Mr. McWilliams, addressing tho Court, said that ho had just recoirad a note from the auditor, stating that on September 4, 13SI, the New York turned over to the Manhattan $145,000 of the nurplu, under the agreement of August, 1854.

Mark Hopkins, J. Hlocuni, Simon Wormier aud Cyrus W. Fiold, received from Alledowd Field 100 shares ton, tironty, thirty and forty respectively and K. W. Loonard aud T.

Pear pall fifty Bhares each from George S. Scott. Pearsall was Scott's partner, and Loonard hid confidential clerk. They surrendered the stock and took consolidated for It. Tho tally sheets and proxies of Auguit I wore produced.

Tho question was asked whothor the persona who got tho stock aa above transferred it back. Mr. McWilliams could not say, and it was agreed to take tyidenco on the subject at the oflico of tho New York Elevated Company, where the books could be examined. Part of the list of proxies, Mr. McWilliams said, was written just before tho meeting. Mr. Cyrus W. Field voted 50,000 shares.

He is uot a professional politician, but has tho training and character out of which good Governors are mide, as ho has admirably dom 'iistratod since he waa elected Mayor of Buffalo. He is both clean handed and clear headed. He cannot be beaten by any effort to couctal 'h facts from tho Republican votors of the State. Elected or defeato.l, we would a thousand times rather stand in the shoes of Grover Cioveland than of Charles J. Folger. Tho Utica Herald, in common with numerous other treacherous Republican journals, was eminently suc cessful in holding Mr.

Cleveland up to its readers in that light in 1882 for the purpose of electing him Gov ernor. Their uhTort at reversing it iu 1884, by representing him as the embodimout of noarly everything that is stupid, fraudulent and vile, was a miserable failure. Tho net result of such Republican management is nowhere more apparut than in Ouoidi County, whore the Ut 'ca Herald Is published and principally circulated. That county in 1880 gavo General Garfield a plurality of 1,946. In 18S4 it had beon converted into a Democratic county, an.l gave Mr.

Cleveland a plurality of 33. If Mr. Blaine had received the plurality given General Garfield in that county he would havo been eloctotl. As Rppublicaus, whether wo aro to bo hereafter cursed with such leaders and management or rolloved of them, the future alone can disclose, but until there Is a chaugo it is useless to indulge iu any hopo of Republican Ruccoas. Whether the Utica Herald wl'l support the Deiuo caatlo candidate for Govnruor noxt Fall, as It did in 1882, will, of course, depend upon whether or not it can rule tho roost iu the Republican Party.

If it gets on the Mdo of the Domocrats again it will do tho Republicans a great tavor by remaining there permanently. That journal has probably done more to rui thu Republican Party than any other iu tho State, and the defeat of Mr. Blaiuo lies at ita door. William R. Baldwin.

Therefore, it is immaterial what pressure they bring upon him, wo can balacce it. He will not go for the Bake of more salary, for it is only six years since a similar call would have come to him with nearly double the salary ho was receiving, but money was no temptation to him. He then looked over his field of labor, and he said it was a blessed ono, and remained. The congregatiou Is better to day aud will increase gradually. Our pastor is uot a man who preaches for money alone, but a man with a heart for his congregation, full of lovo and prayer for all and the cougrcga tionia returning it.

Thoroforo, I cannot see what would make him leave us but if there are members in the Schermerhoru street congregation who think Rsv. J. J. Heischman is just the man for them, let thorn como to us we will receive them with the greatost kinduess. Nor was this its only offense. On the provious day it had mado its teeth moot in the flesh of a man before that another boy had received a similar mark of regard; in abort, the wholo career of tho little brute consisted in biting human beings.

The magistrates consequently ordered it to be destroyed, greatly to tho sorrow of Its owner, no doubt. It never bit him. and ho probably regarded it as a swoet little crcaturo, only too good for this wickod world.
