How many of our pupils have been able to obtain first grade teachors certificates? No one doubts the scholarly ability of our present Principal, but Is he practical? If we compare results in our schools to those In Watsonville we find nothing to our credit, although Mr.

Whenever either of these gentlemen voto with the Republicans, the Republicans standing together, the Senate will be a tie, which will give the victory to tbe Republicans, the Vice-President having the casting vote. Dennison, and all those wbo are or may be associated wilh tbem, and their successors, are hereby created a body corporate under the name and style of the Maritime Canal Company of Nicaragua, by which name the said Company may sue and be sued, may defend and be defended, In all Courts of law and equity within the United States; may have a common seal, and generally may have and possess the rights and privileges usually possessed by similar companies, and may purchase, hold and convey such real estate and personal estate as may be necessary to carry into effect the purpose of this Act, and do all lawful things to secure the full enjoyment of the powers, privileges, rights, bene fits aud grants contained in the Canal lease or made hy the Republic of Nic aragua to the Provincial Inlernceanic Canal Society, and confirmed May 18, 1880.

Sectioh 2. That the capital stock of said company shall consist of not less than 600,000 nor more than shares, of $100 each, which shall, in all respects, be deemed personal property, and shall be transfer able In such manner as the by-laws of said corporation may provide. And the Board of Directors of ssid company may Issue bonds In such form and amount, not exceeding one-half tne capital stock, as said Board may determine. Ten per cent of an subscriptions shall be payable at the time they are made, and all future payments shall be made at such times and In such amount said Board of Directors may determine. Sixty days previous notice shall be given of all payments required, and of the time and place of payment, by publication in oue dally newsnaner in Now York City, San Francisco, London, England, and Paris, France, and in case tbe stockholders shall neglect or refuse to pay, in pursuance of such notice, the stock held by them shall be forfeited absolutely to the us of the company, and also all payments made on account thereof, but tbe uoard or Directors may allow the re demption of said stock on such terms as they may presort be.

The annual meeting of st i gholdcrs of said corporation shall be held for tbe choice of officers, (when they are to be chosen), aud the place and notice of such meeting is to be prescribed in the by-laws, but a failure to elect Directors on the day appointed in said by-laws shall not be deemed to dissolve said company, but such election may be holden any day appointed by the Directors. Tbe Directors, of whom seven, including tbe President, shall be a quorum, shsll have full powers touching the election of all officers of the company, and bonds to be required of tbem for the faithful performance of tbeir duty, and said officers shall bold office at the will and pleasure of said Board and said Directors shall make an annual report to the stockholders of their proceedings and expenditures, verified by affidavits of tbe President and at least six Directors.
