Wednesday, February 11, 2004 D-5 LPhjdilikd RTapirncES ed for such purpose, shall, to the extent practicable, be reinvested In Government Securities (which may be non-interest bearing) maturing at times and in amounts sufficient to pay when due the principal, premium, if any, and interest on such Certificates on and prior to the maturity thereof, and interest earned from such reinvestments shall be paid over to the Issuer as received by the depositary, tree and clear of any trust, lien, or pledge. Any payment for Government Securities purchased for the purpose of reinvestment as aforesaid shall be made only against delivery of such Government Securities. SECTION 21.

Successor Paying Agent; Paying Agent Agreement. The Issuer will at all times maintain a Paying Agent meeting the qualifications hereinafter described for the performance of the duties hereunder for the Certificates. The designation of the initial Paying Agent in this Ordinance is hereby confirmed and approved. The Issuer reserves the right to appoint a successor Paying Agent by (a) filing with the Person then performing such function a certified copy of an ordinance giving notice of the termination of the Agreement and appointing a successor and (b) causing notice to be given to each Owner. Every Paying Agent appointed hereunder shall at all times be a bank or trust company organized and doing business under the laws of the United States of America or of any state, authorized under such taws to exercise trust powers, and subject to supervision or examination by Federal or State authority.

The Executive Officers are hereby authorized and directed to execute an appropriate Agreement with the Paying Agent for and on behalf of the Issuer in such form as may be satisfactory to said officers, the signatures of said officers on such Agreement to be conclusive evidence of the due exercise of the authority granted hereunder. SECTION 22. Tax Covenants. The Issuer covenants and agrees that, to the extent permitted by the laws of the State of Louisiana, it will comply with the requirements of the Internal Revenue Code of 1986 and any amendment thereto (the in order to establish, maintain and preserve the exclusion from "gross income" of interest on the Certificates under the Code. The Issuer further covenants and agrees that it will not take any action, fail to take any action, or permit any action within its control to be taken, or permit at any time or times any of the proceeds of the Certificates or any other funds of the Issuer to be used directly or indirectly in any manner, the effect of which would be to cause the Certificates to be "arbitrage bonds" or would result in the inclusion of the interest on any of the Certificates in gross income under the Code, including, without limitation, (i) the failure to comply with the limitation on investment of Certificate proceeds or (ii) the failure to pay any required rebate of arbitrage earnings to the United States of America or (iii) the use of the proceeds of the Certificates in a manner which would cause the Certificates to be "private activity The Certificates are designated as "qualified tax-exempt obligations" within the meaning of Section 2 65(b)(3) (Bof the Code.

In making this designation, the Issuer finds and determines that: (a) the Certificates are not "private activity bonds" within the meaning of the Code; and (b) the reasonably anticipated amount of qualified tax-exempt obligations which will be issued by the Issuer and all subordinate entities in calendar year 2004 does not exceed $10,000,000. The Executive Officers are hereby empowered, authorized and directed to take any and all action and to execute and deliver any instrument, document or certificate necessary to effectuate the purposes of this Section. SECTION 23. Disclosure Under SEC Rule 15c2-12. It is recognized that the Issuer will not be required to comply with the continuing disclosure requirements described in the Rule 15c-2-12(b) of the Securities and Exchange Commission 17 CPR 240.15c2-12(b)j, because the Certificates are issued in aggregate principal amount of less than One Million Dollars SECTION 24.

Publication. A copy of thiB Ordinance shall be published immediately after its adoption in one (1) issue of the official journal of the Issuer. If the validity of the issuance of the Certificates is not raised within thirty (30) days from the date of such publication, the Certificates shall be incontestable in the hands of bona fide purchasers thereof for value and no court shall have authority to inquire into the legality thereof. SECTION 25. Award of Certificates.

The Issuer hereby accepts the offers of the Purchaser to purchase the Certificates attached as Exhibit "A'hereto. The Certificates shall be delivered to the Purchaser upon payment of the principal amount thereof and accrued interest to the date of delivery of the Certificates. SECTION 26. Declaration of Official Intent Under Reg. 1.150-2.

Prior to the delivery of the Certificates (hereinabove approved in an amount not to exceed $250,000) the Issuer anticipates that it may pay a portion of the costs of the project not to exceed $250,000 from other available funds in the general fund of the Governing Authority. The project includes, specifically, couau-ucung improvements and additions to the Issuer voting machine warehouse, and paying the costs of issuance of the Certificates. Upon the issuance of the Certificates, the Issuer reasonably expects to reimburse any such expenditures of other available funds from a portion of the proceeds of the Certificates. This Section is intended to be a declaration of official intent within the meaning of Reg. 1.150-2.

SECTION 27. Application to the Louisiana State Bond Commission. Application is hereby formally made to the Louisiana State Bond Commission, Baton Rouge, Louisiana, for consent and authority to issue, sell and deliver the Certificatea. SECTION 28. Employment of Bond Counsel.

The law firm of Foley Judell, I. L. Bond Counsel is hereby employed as Bond Counsel to the Issuer to handle all matters of a legal nature in connection with the negotiation, sale, issuance and delivery of the Certificates. The fee of Foley fit Judell, L. L.

P. in connection with said program of finance is hereby established and fixed at a rate not to exceed the rate for comprehensive legal and coordinate professional work for revenue bonds set by the Attorney General's Fee Schedule which is in effect at the time of the delivery of the Certificates, plus "out-of-pocket" expenses, including any and all expenses and coats in preparing an Official Statement for the Certificates, if necessary. A certified copy of this Ordinance shall be forwarded to the Attorney General of the State of Louisiana for his approval of the employment herein provided for. SECTION 29. Section Headings.

The headings of the various sections hereof are inserted for convenience of reference only and shall not control or affect the meaning or construction of any of the provisions hereof. SECTION 30. Effective Date. Upon approval by the Parish President, this Ordinance shall be published in full in one (1) issue of the official journal of the St. Martin Parish Council, State of Louisiana (the "Parish within fifteen (15) days after final adoption, and shall be in full force and effect upon publication thereof.

No wrther or additional pledges or dedications of the aforesaid excess of annual revenues shall be made which shall have priority over or parity with the pledge and dedication of such revenues herein made, except as provided in Section 9 hereof. It is recognized that the surplus of revenues over expenditures in the Issuer's general fund budget contemplates the receipt of royalties from mineral leases in compliance with the provisions or Article 7, Section 4(E) of the Louisiana Constitution of 1974 and the other revenue sources set forth in said budget.

In order to secure the payment of the Certificates and provide for the marketability thereof, the Governing Authority does hereby covenant and agree that as long as the Certificates and the Outstanding Parity Bonds, or any portion thereof, are outstanding without provision having been made for the payment thereof, the Governing Authority will not issue, sell nor deliver any bonds, certificates or other obligations that are secured by a greater lien on or create a superior claim to the aaid royalties than that of the Certificates and the Outstanding Parity Bonds. More specifically, this Governing Authority and the Issuer hereby covenant and agree that no bonds, certificates or other obligations shall be issued under the provisions or R.S. 30:145 to R.S. 30:147, inclusive, or any similar law payable from a direct pledge or dedication of said royalties without making provisions for the refunding or other payment of the Certificates and the Outstanding Parity Bonds. SECTION 8.

Sinking Fund, (a) For the payment of the principal of and the interest, if any, on the Certificates and the Outstanding Parity Bonds, the Issuer created and now maintains special fund known as "ExceBS Revenue Bond Sinking Fund" (hereafter, the "Sinking said Sinking Fund to be maintained with the regularly designated fiscal agent bank of the Issuer. For the payment of the Certificates and the Series 2002 Bonds, the Issuer is required to deposit in the Sinking Fund monthly in advance on or before the 20th day of each calendar month during the period March, 2004 through July, 2004, inclusive, the sum of $17,840.86 per month and, thereafter commencing August, 2004, a sum equal to one-sixth (16 of the interest falling due on the Certificates and the Series 2002 Bonds on the next Interest Payment Date, and a sum equal to one-twelfth (1121 of the principal falling due on the Certificates and the Series 2002 Bonds on the next principal payment date, together with such additional proportionate sum as may be required to pay said principal and interest as the same become due. For the payment of the principal installments on the Series 2002-A Certificates, the Issuer shall continue to deposit in the Sinking Fund monthly in advance, on or before the 20th day of each calendar month, the monthly payments stipulated in the Certificate delivered to the owner thereof as said monthly payment may be adjusted, said monthly payments to continue until the Series 2002-A Certificates are fully retired or prepaid. The depository for the Sinking Fund shall transfer from the Sinking Fund to the appropriate paying agent for the Certificates and the Outstanding Parity Bonds at least three (3) days in advance of the date on which each payment of principal and interest, if any, on the Certificates and the Outstanding Parity Bonds falls due, funds fully sufficient to pay promptly the principal and interest, if any, falling due on such date. (b) It shall be specifically understood and agreed, however, and this provision shall be a part of this contract, that after funds have actually been budgeted in any Fiscal Year sufficient to pay the principal and interest, if any, on the Certificates and the Outstanding Parity Bonds for that Fiscal Year, then any excess of annual revenues remaining in that Fiscal Year shall be free for expenditure by the Issuer for any other lawful corporate purpose.

(c) AU monies deposited with the regularly designated fiscal agent bank or banks of the Issuer or the Paying Agent under the terms of this Ordinance shall constitute sacred funds for the benefit of the Owners of the Certificates and the owners of the Outstanding Parity Bonds, and shall be secured by said fiduciaries at all times to the full extent thereof in the manner required by law for the securing of deposits of public funds. (dAU or any part of the monies in the Sinking Fund shall, at the written request of the Issuer, be invested in accordance with the provisions of the laws of the State of Louisiana, in which event all income derived from such investments shall be added to the General Fund of the Issuer. SECTION 9. Parity Certificates. The Issuer shall issue no other certificates or obligations of any kind or nature payable from or enjoying a lien on the excess of annual revenues of the Issuer above the said statutory, necessary and usual charges, having priority over or parity with the Certificates and the Outstanding Parity Bonds, except that Additional Parity Obligations may hereafter be issued on a parity with the Certificates and the Outstanding Parity Bonds under the following conditions: net excess of annua! revenues of the Issuer (excess of general revenues over expenditures, which shall include any fund balance carried forward from a prior year) for the Fiscal Year immediately preceding the issuance or any Additional Parity Obligationa must have been not less than 1.35 times the highest annual debt service requirements in any succeeding Fiscal Year on all such obligations then outstanding, including any Additional Parity Obligations theretofore issued and then outstanding, and any bonds or other obligations whatsoever then outstanding which are payable from the excess of general revenues of the Issuer (but not including obligations which have been refunded or provisions otherwise made for their full and complete payment and redemption), and the Additional Parity Obligations so proposed to be issued; (b)The Issuer is in full compliance with all covenants and undertakings in connection with all its excess revenue obligations then outstanding and payable from the excess of general revenues of the Issuer or any part thereof, and there are no delinquencies in payments required to be made to the Sinking Fund established and maintained for the security and payment of the Certificates and the Outstanding Parity Bonds; c)The existence of the facts required by the foregoing paragraphs (a) and (b) must be determined and certified by the Director of Finance of the Issuer; and (d) The Additional Parity Obligations must be payable as to principal on February 1 of each year, commencing not mor: than two (2) years from the date thereof, and payable as to interest on February 1 and August 1 of each year following the date thereof.

SECTION 10. Budget; long as any of the Certificates are outstanding and unpaid in principal or interest, the Issuer shall prepare and adopt a budget prior to the beginning of each Fiscal Year and shall furnish a copy of such budget within thirty (30) days after its adoption to the Paying Agent and the Purchaser; the Issuer shall also furnish a copy of such budget to the Owners of any of the Certificates who request the same. Not later than six (6) months after the close of each Fiscal Year, the Issuer shall cause an audit of its books and accounts to be made by the Legislative Auditor or an independent firm of certified public accountants showing the receipts and disbursements made by the Issuer during the previous Fiscal Year. Such audit shall be available for inspection by the Owner of sny of the Certificates, and, upon completion, a copy of such audit shall be furnished to the Purchaser. SECTION 11.

Application of Proceeds. The Executive Officers are hereby empowered, authorized and directed to do any and all things necessary and incidental to carry out all of the provisions of this Ordinance, to cause the necessary Certificates to be printed, to issue, execute and seal the Certificates, and to effect delivery thereof as hereinafter provided. The proceeds derived from the sale of the Certificates, except accrued interest, shall be deposit ed by the Issuer with its fiscal agent bank or banks to be used only for the purpose for which the Certificates are issued. Accrued interest, if any, derived from the sale of the Certificates shall be deposited in the Sinking Fund to be applied to the first interest payment. SECTION 12.

Certificates Legal Obligations. The Certificates shall constitute legal, binding and valid obligations of the Issuer, and shall be the only representations of the indebtedness as herein authorized and created. SECTION 13. Ordinance a Contract. The provisions of this Ordinance shall constitute a contract between the Issuer, or its successor, and the Owner or Owners from time to time or the Certificates, and any such Owner or Owners may at law or in equity, by suit, action, mandamus or other proceedings, enforce and compel the performance of all duties required to be performed by this Governing Authority or the Issuer as a result of issuing the Certificates.

No material modification or amendment of this Ordinance, or of any Ordinance amendatory hereof or supplemental hereto, may be made without the consent in writing of the Owners of two-thirds (23) of the aggregate principal amount of the Certificates then outstanding; provided, however, that no modification or amendment shall permit a change in the maturity or redemption provisions of the Certificates, or a reduction in the rate of interest thereon, or in the amount of the principal obligation thereof, or affecting the obligation of the Issuer to pay the principal of and the interest on the Certificates as the same shall come due from the revenues appropriated, pledged and dedicated to the payment thereof by this Ordinance, or reduce the percentage of the Owners required to consent to any material modification or amendment of this Ordinance, without the consent of the Owners of the Certificates. SECTION 14. Severability; Application of Subsequently Enacted Laws. In case any one or more of the provisions of this Ordinance or of the Certificates shall for any reason be held to be illegal or invalid, such illegality or invalidity shall not affect any other provisions of this Ordinance or of the Certificates, but this Ordinance and the Certificates shall be construed and enforced as if such illegal or invalid provisions had not been contained therein. Any constitutional or statutory provisions enacted alter the date of this Ordinance which validate or make legal any provision of this Ordinance andor the Certificates which would not otherwise be valid or legal, shall be deemed to apply to this Ordinance and to the Certificates SECTION 15.

Recital of Regularity. This Governing Authority having investigated the regularity of the proceedings had in connection with the Certificates and having determined the same to be regular, the Certificates shall contain the following recital, to-wit: "It is certified that this Certificate is authorized by and is issued in conformity with the requirements of the Constitution and statutes of the State of Louisiana." SECTION 16. Effect of Registration. The Issuer, the Paying Agent, and any agent of either of them may treat the Owner in whose name any Certificate is registered aa the Owner of such Certificate for the purpose of receiving payment of the principal land redemption price) of and interest on such Certificste and for all other purposes whatsoever, and to the extent permitted by taw, neither the Issuer, the Paying Agent, nor any agent of either of them hall be affected by notice to the contrary. SECTION 17.

Notices to Owners. Wherever this Ordinance provides for notice to Owners of Certificates of any event, such notice shall be sufficiently given (unless otherwise herein expressly provided) If in writing and mailed, first-class postage prepaid, to each Owner of such Certificates, at the address of such Owner as it appears in the Certificate Register. In any case where notice to Owners of Certificates is given by mail, neither the failure to mail such notice to any particular Owner of Certificates, nor any defect in any notice so mailed, shall affect the sufficiency of such notice with respect to all other Certificates. Where this Ordinance provides for notice in any manner, such notice may be waived in writing by the Owner or Owners entitled to receive such notice, either before or after the event, and such waiver shall be the equivalent of such notice. Waivers of notice by Owners shall be filed with the Paying Agent, but such filing shall not be a condition precedent to the validity of any action taken in reliance upon such waiver SECTION 18.

Cancellation of Certificates. All Certificates surrendered for payment, redemption transfer, exchange or replacement, if surrendered to the Paving Agent, shall be promptly canceled by it and, if surrendered to the Issuer, shall be delivered to the Paying Agent and if not already canceled, shall be promptly canceled by the Paving Agent. The Issuer may at any time deliver to the Paying Agent for cancellation any Certificates previously registered and delivered which the Issuer may have acquired in any manner whatsoever, and all Certificates so delivered shall be promptly canceled by the Paying Agent. All canceled Certificates held by the Paving Agent shall be disposed of aa directed in writing by the Issuer SECTION 19 Mutilated. Destroyed, Lost or Stolen Certificatea.

If (II any mutilated Certificate is surrendered to the Paying Agent, or the Issuer and the Paying Agent receive evidence to their satisfaction of the destruction, loss or theft of any Certificate, and (2) there delivered to the Issuer and the Paying Agent such secunty or indemnity aa may be required by them to save each of them harmless, then, in the absence of notice to the Issuer or the Paying Agent that such Certificate has been acquired by a bona fide purchaser, the Issuer shall execute, and upon its request the Paying Agent shall register and deliver, cjsdaw for or in lieu of any such mutilated, destroyed, lost, or stolen Certificate, a new Certificate of the same maturity and of like tenor, interest rate and pnncipal amount, bearing a number not contemporaneously outstanding.
