ARTICLE I.v The undersigned, A. J. Guttler, T. A. McCul-louch.

MacDavenport. hereby associate ourselves to gether and execute these articles of incorporation for the purpose of forming a corporation under the laws of the Territory of Arizona, the name of which corporation shall be the Union Mines and Engineering Company, its principal place or places of business shall be Yuma, county of Yuma, Territory of Arizona, with branch offices at such other place or places within the United States or foreign countries as may hereafter be designated. ARTICLE II. The general nature of the business of said company shall "be to own, operate and dispose of quarries of marble and stone, to mine for gold and silver and all other precious metals' and to hold, "purchase and locate mineral and other lands and water rights; to buy, soil, lease and mortgage real and personal property? to make, buy and sell bills, notes, bonds and- debentures; to erect and operate mills, smcltcr. rcHncries and other works for reducing a u-trcating ores and minerals.

To develop electricity and buy and sell the same and any mining or water mashincry operated thereby to erect houses and buildings; to locate and estab lish town sites and survey the same; to dispose of mortgage, acquire and lease lots and' acre age property; to erect and oxn and operate end lease and sell telephone and telegraph lines to build roads, tramways and electric railroads and canals; to locate and develop oil lands containing other kindred substances; to develop, produce and reduco oil and other hydro-carbon substances and chemicals; to construct and operate hotels: to buy, faell and exchange and discount commercial paper, re ceive deposits and loan money; to buy and sell all kinds of fuel and to do any and things needful to conduct a general mining, exploring, commercial and development business and to conduct any and all of the business before mentioned in the Territory of Arizona or any other -state or territory in the United States or foreign countries. ARTICLE III. The capital stock of said company shall be $100,000, divided into 1.000 shares of the par value of 100 each. Said stock upon issuance to be paid for in full in cash or Its equivalent pioperty conveyed to said company or for servicesrendcred said company and when so issued shall be forever non-assessable. ARTICLE IV.

This corporation shall commence business when its articles of incorporation are filed with the county recorder of said Yuma, county of Yuma, and the secretary of the Territory of Arizona, and it shall continue for 25 years thereafter. ARTICLE V. The affairs of this corporation shall bo conducted by a board of directors composed of five stockholders who shall be elected annually on the first Monday in January of each year ana untiljuch election, A. Gutzler, T. A.

Mc-Cullqugn, H. P. Randall, John N. Isgrig and H. MacDavenport shall constitute and act as such directors.

ARTICLE VI. The liighest amount of indebtedness and liability to which this corporation subject itself shall be.S5.000. ARTICLE VH. The private property of the stockholders of corporation shall be exempt from its corporate debts. ARTICLE VIII, These- articles- of, incorporation may he amended by a majority vote of thestackholders, or 1 his corporation at any regular meeting of.

the stockholders or any other meeting- called for that purpose and the amendments shalL be filed with the county recorder of said county of. Yuma, and presented, as required by law. ARTICLE IX. The directors of this corporation may adopt by-laws for it at their first meeting. An election of directors and stockholders meeting (annual) shall be held annually on the first Monday of January of each year.

That the name of this corporation shall be Arizona Southern Gold Mining Company and its principal place of business shall be at the city cf Yuma, county of Yuma, Territory of Arizona, with a branch office at Los Angeles, county of Los Angeles, state of California, and at such other placas as shall be designated by the stockholders.

ARTICLE II. The nature of the business to be transacted is to purchase, acquire, lease, own. locate and control mines and mining claims, and to work, operate, leas-e and sell the same; to carry on and conduct the business of developing mines, mining claims and selling the product therefrom; to erect works of any character necessary or proper to be used for the working of ines or reduction and refining of ores and precioi: lr locate mines and mining claims; to acquire by purchase or otherwise real and personal property, water and water rights; to sell water and water rights; to purchase, lease; acquire, own, control or operate smelter or smelters, concentrating works, mill or mills, cyanide plant or plants for the reduction and treatment of ores belonging to said corporation, or for other parties: to buy, sell, own, erect and operate machinery and nnnliances for the generation, manufacture and transmission of electricity, electric- light, electrict power and everything necessary or useful in connection therewith; also to construct pipe lines for carrying water, reservoiis for the storage of water, and to acquire rights ofw- for the construction of such pipe lines and property necessary for tho construction of reservoirs or dams; to impound water; to build railroads, tramways or other things necessary in connection with the business of this ARTICLF.ni. The amount of capital stock of this corporation shall be one million dollars, divided into one million shares of the par value of one dol lar per share. ARTICLE IV.

The time of the commencement of this corporation, shall be the date of filing the original articles of incorporation in the office of the county recorder of Yuma county, Arizona, and thd term theroof shall be twenty-five years from that date. ARTICLE V. The officers of the said corporation shall consist of a board of directors, who shall man age the affairs of the corporation, more than five, whose names and residences are as follows: Names Residence G. A. M. Vauwhy, Thedireotors of said corporation shall be elected annually on First Monday in January of each vear: shall hold office for the term of one year, or until their successors are elected and have qualified. The time and manner of said election and qualification of the directors shall be prescribed and governed as provided for by the by-laws of this corporation, and the above named shall serve until the first annual meeting of the stockholders of this corporation. ARTICLE VI.

The annual and other meetings of the board of directors and stockholders may be held beyond the limits of tho Territory of Arizona, in the city of Los Angeles, state of California, or. elsewhere, at such times and places as the bylaws may designate or the board of directors shall from time to time pursuant thereto dc- tenninc. ARTICLE VII. Tnc private property of the officers and stockholders of this corporation shull be exempt from any liability for Its' corporate debts. ARTICLE VIII.

Notice of Contest. DEPARTMENT OF THE INTERIOR, United States Land Office, Tucson, Arizona, October 13, 1904. A sufficient affidavit of contest having been filed in this office on July 2, 1904, by May V. Smith against the homestead entry of Charles Burton, No. 4782, made at the Tucson, Arizona, land office on November 10, 1903, for the sH nej and lots 1 and 2, sec.

and wherein it is alleged that the said Charles Burton is deceased, having died In Yuma county, Arizona; otn or about April 28, 1904; that he left no heirs in Arizona; that neither the said Charles Burton in his lifetime, nor his widow, if any, nor his heirs nor devisees, If any, nor his administrator or personal representative, if any, since his death have made any settlement upon said land or cultivated said land or built a house on said land; that said tract of land is unoccupied, abonded and deserted and has so remained for more than six months since it was entered by the said Charles Burton; that the names and residences of the widow, if any, the heirs or devisees, if any, or administrator or personal representative, if any, of the said Charles Burton are unknown to contestant, and that his or their absonce from the land was not due to employment in the army, navy or marine corps of the United States, etc. But now comes the contestant and files a further affidavit, duly corroborated, showing that personal service of notice cannot be made for the reason that no heirs or legal representatives can be found, and asks that such notice be given by publication. It is accordingly ordered, and all parties of Interest are hereby notified that a hearing of said case will be held in the U. S. land office in the city of Tucson, at 2 o'clock p.

Land Oflice on June 1903. for 20. 10 JR 25 M. in which it is alleged that the said John Smith has wholly failed to make settlement upon, to improve, to reside upon, to cultivate the land embraced in his said entry; that he has so failed as aforesaid as to every part of his. said entry that he has been absent therefrom for moro than six months since making his said entry; that he has wholly abandoned the same for more than six months last past; that tract has not been and is not now settled upon and cultivated by said party as required by law; that he has not constructed a house thereon as required by lay; that he has failed to establish his residence thereon; and that said alleged absence from theland was not due to his employment in the army, naw or marine corps of the United States, etc Upon the above affidavit a hearing was ordereaV The notices were returned with a further affidavit showing that personal service of notice of hearing can not be made upon the contestee for the reason that his whereabouts is unknown and he can not be found, and asks thdt such notice be given by publication.

It is accordingly ordered and all parties of interest are hereby notified that a hearing in said case will be had in the U. S-Land Office in the city of Tucson. Arizona, at 2. o'clock p. December 9.
