Know All Men By These Presents: That we, whope hands are hereunto affixed, do hereby associate ourselves together for the purpone of forming a corporation under the laws of the Territory of Arizona, and to that end ake the following statement: First: The names of the corporators are: Albert Holzmark.

Homuth. Henry W. Brown. H. F.

Wulf and F. P. Strick land and the name of the corporation hall be The Consolidated Mineral Company. The principal place in which the business of said corporation within the Territory of Arizona Is to be transacted Is Phoenix, Maricopa County. Arizona, and the principal place of business of said corporation outside the Territory of Arizona shall be the City of Kansas City.

In the State of Missouri, at which meetings of the Board of Directors may be held, and the corporation may have such branch offices either within or without the Territory of Arizona as may be established by the Board of Directors. Second: The general nature of the business proposed to be transacted by this corporation is as follows, to-wlt: To purchase, lease, bond, locate or otherwise acquire, own, exchange, sell or otherwise dispose of, pledge, mortgage, hypothecate and deal In real estate, any and all kinds of personal property, mines, mining claims, oil lands, mineral lands, oil, gay, asphal-tum, petroleum, water and water rights and machinery, and to work, mine, explore, operate and develop the same: to do a general real estate, manufacturing- and mercantile business: to own, handle and control letters patent and inventions and shares of capital stock of other corporations: to borrow money and execute notes, bonds, mortgages or deeds of trust to secure the same, and to exercise In respect of all such bonds. mortgages, notes, shares of capital stock and other securities and obllga- I tions any and all rights, powers and i privileges of Individual owners thereof, including the right to vote upon any shares of stock held by it to the same extent that a natural person might or could do: and in general to do all things necessary to the prupei: conduct of the business of this corporation in the Territory and elsewhere, not inconsistent with the laws of the Cnitod States and the Territory of Arizona. Third: The authorized amount of capital stock of this corporation shall be Fifteen Million dollars divided into Fifteen Million shares of the par value of One Dollar (Jl) each. At such time as the Board of Directors may by resolution direct, said capital stock shall be paid into this corporation either in cash or by the sale and transfer to it of real or personal property for the uses and purposes of said corporation.

In payment for which shares of the capital stock of said orporation may be issued, and the capital stock so issued shall thereupon and thereby become and be fully paid up and nonassessable, and In the absence of actual iraud In the transaction the Judgment of the Directors as to the value of the'F'rank H. fourth: The time of the commencement of this corporation shall be the date of the filing of these Articles of Incorporation in the office of the Secretary of Arizona, and the termination thereof shall be twenty-five years thereafter. McArthur, citizens of Jefferson County. Texas, have and do hereby voluntarily associate ourselves together for the purpose of forming a corporation under the following charter: (1 The name of the corporation shall be the One Penny Oil Company. The purposes for which said corpo ration is formed are to store and trans port oil and gas. brine and other min eral solutions, and to make reasonable charges therefor, to buy. sell and furnish oil and gas for light, heat and other purposes; to lay down, construct, maintain and operate pipe lines, tubes, tanks, pump stations, connections, fixtures, storage houses, and such machinery, apparatus, devices and arrangements as may be necessary to operate such pipes and pipe lines between different points in the State of Texas: to own.

hold, use and occupy such lands, rights uf way, easements and franchises, buildings and structures as may be necessary to the purposes of such corporation. (31 The place where the business of such corporation is to be transacted shall be Arizona and Texas, and such other places as It may desire to carry on Its business, and it may have branch offices or other places of business in other states as it may deem necessary for the carrying on of the same. The principal office and domicile of said corporation shall be In the city of Phoenix. In the county of Maricopa, Territory of Arizona, but it may main tain auxiliary offices in the cities of Beaumont, Texas; New York, N. St.

Louis, and such other places as the Board of Directors may determine. (4) The term for which said corporation is to exist shall be twenty-five years, (f.) The number of its Directors shall be five, and those appointed to serve for the first year as follows: Frank H. Morrical. T. Woodin.
