The prospectus is published of the Victoria Gold Company, limited, with a capital of 200,000 in 1 shares. The property which the company is formed to purchase aud develops is situate in Guayaua, Venezuela, about 30 miles from the El Callao Mine, said to be one of the richest in the world. A New Cobpokation Consolidated Stock. The Manchester City Council, at their meeting yesterday, resolved to issue a new consolidated stock hearing- interest at 3i per cent, per annnm, paid half-yearly. The amount of the issue is 900,000, and the stock will ia the first instance be offered at par to persons who have lent money to the Corporation on the security of bonds or mortgages.

The bonded debt, to the amount of 900,000, will thus be converted into stock.J St. Helens and Disteict Teamwats Compant. An extraordinary general meeting of the shareholders of this company was held to-day, at Kos. 19 and 21, Queen Victoria-street, London, the chairman of the company presiding. The Secretary having read the notice convening the meeting, the Chairman said that the meeting was called for the purpose of confirming two several declarations of forfeiture of shares neglected to be paid up, and he would therefore move, That this meeting hereby confirms the two several declarations of forfeiture of the shares of Hampden Whalley and St.

Vincent W. F. Jervis, and hereby furthermore orders and directs that the 225 shares forming the subject of the forfeiture be sold or otherwise disposed of as the directors may think fit." Mr. Spade seconded the motion, which was carried unanimously. The Chairman declared the proceedings at an end, and said that the second meeting was called to obtain the sanction of the shareholders to put the borrowing powers of the company into operation.

The company, by their special act, was empowered to borrow 17,000. The debentures to be issued in pursuance of that course had been made over to the contractors, as forming part of the sum to be paid for the formation of the tramways. The mortgage bonds would be the first charge on the tolls, revenues, tramways, rolling stock, which would cost nearly 87,500, and as the mortgage bonds were limited by Act of Parliament to 17,000, security was absolute. The bonds would be issued at 5 per payable half-yearly, and redeemable at par in tea years. He would move That tbis meeting hereby orders that the sum of 17,000 be borrowed by the directors under the powers and upon the security in such respective behalfs mentioned in the St.

Helens and District Tramways Act, 1879." The motion was unanimously adopted, and a vote of thanks to the chairman concluded the proceedings. At a special meeting of John Bagnall and Sons, Limited, at the Queen's Hotel, Birmingham, to-day, the resolutions recommending the liquidation of that company; were confirmed. Messrs. Edward Gem (chairman) and William Gordon Bagnall were appointed liquidators. Tee Affaies of Ms.

The money market has been again quiet and dull, bills being kept back in anticipation of further fall in rates after the distribution of the dividends to-morrow. Dr. Flarmagan, Cahir Railway Station. He saw tbe packages placed on board the steamer, and afterwards at Waterford, where they were placed in a goods waggon for Cahir. He went the same train with them, and pointed them out to Sub-inspector Bouebier. He returned to England, and on the 30th December was with Gallagher at Paddington.

A cask addressed to M. Glin, onn, Clare, was cointed ont to him. It was removed to an office, and on being opened was found to contain 15 Snider rifles and bayonets and 28 packets of ball cartridge. The stocks of the rifles were all cut at the middle band. He marked the rifles and the cartridges and followed the packages to Ireland, and on arriving at Waterford pointed them out to the police authorities there.

Thomas George Grey, acting constable in the Boyal Irish Constabulary, said that in December last he was on duty in London, and knew tbe prisoner both by sight and name. On the 30th December he was with Gallagher at paddington Station, and saw the cask referred to by the last witness. The next morning they went to the Smithfield goods department, where they found the cask addressed to J. T. Egan, and which contained rifles, bayonets; and ball cartridges.

Gallagher took possession of one of the rifles and some of the cartridges. The cask W3s then repacked, and he travelled in the same train with it to Milford, and thence by steamer to Waterford, where on the 4th January he pointed it out to Constable Devitt. On the 27th February he was at Dalston with Gallagher, and saw prisoner driven by Lovelock in one of Johnson's vans. Adaas Cooke Newell, sub-inspector, stationed at Castlereagh, County Roscommon, said that on the 8th July of last year a case was brought to the constabulary barracks there, addressed to James Farrall, Castlereagh, County Roscommon, by a constable named Harvey. It contained five Colt's revolvers with six chambers.

He retained the package, and had now brought ii to London. George Connor, foreman porter at Castlereagh station, deposed to receivingthe parcel and handing it to Mr. Farrall's carman. Mr. James Farrall, a merchant, of Castlereagh, was called, and said that he had not ordered any revolvers from London in July or at any other time.

He did not know the name of Cooper, of Bartholomew's-close, who it was said had sent them it was insulting to ask him. In cross-examination the witness said that in May, 1881, he had. a partner named Coyne, and the foreman's name was John Coyne. There was no partnership now. If a parcel had arrived "in July, lool, the loreman would cave opened it.

George Harvey, a constable in the Irish constabu lary, saw the package referred to, and when it left the station he took possession of it and apprehended the car driver, who was released on bail. Patrick Woulfe, storekeeper at the Tralee station on the Waterford and Limerick Eailway, remembered a cask arriving there on the 5th January, addressed J. T.

Egan, Castle Gregory. It was put in the store, and afterwards the police took possession of it. He knew a Mr. Egan there, who was a grocer and dealt in sugar, but no application had been made for the cask. Robert Sealey, a constable, deposed to seeing the casic opened, it contained noes and ammunition.

George Holms, sub inspector, gave similar evidence, and produced the address card taken from the cask. Henry James Bouebier, sub-inspector, stationed at uanir, stated tnat on toe lotn December he received information that two cases would arrive there. They did arrive on the 18th December, and were addressed one to the Eev. Br. Flannagan, Kilbenny, Cahir and the other to Miss Doherty, Ballydruid House, Cahir.

He took the cases from the railway waggon and conveyed tbem to the police barracks, where they were opened, and found to -contain rifles, -bayonets, and ball cartridge. There were ten rides and bayonets ia each case, and 400 rounds of ammunition. The stocks of the rifles were cut at the middle band. He took possession, of both the arms and ammunition, and, having loaded the cases with stones, fastened them up and placed them again in the railway waggon, placing a watch upon them. They had never been claimed, but the railway company took the cases about two miles down the line, and the one addressed to Eev.

Dr. Flannagan had disappeared, whilst the constabulary had secured tie one addressed to Miss Doherty, which was now in London. He knew of no Rev. Dr. Flannagan in the neighbourhood, bat there was a Miss Doherty at the address given, who knew nothing of the matter.

She was a very aged and infirm lady, almost blind, and totally unfit to travel. Peter Clark, Michael Flannigan. and Bernard of the Irish Constabulary, supported this statement. Thomas Scan! an, station master at Clara Station, on the Midland Great Western Eailway of Ireland, said on the 9th January he saw a case addressed to the Rev. Mr.

M'Gaire. The card produced was nailed on the case, and he removed it. He4kept it in his desk, and now produced it. The case was kept at the station for some days, and then the police took it away. During the interval there was no application for the delivery of the case.

Finding there was no application for the case he wrote a. post-letter addressed to the Rev. M. M'Guire Clara, King's county (the address on the case). He received no reply and the letter was not returned.

Cross-examined No application for the case was made after the letter was written. Witness would have been the proper person to apply IAJ LliO CarB, Henry Augustia Allen, a first-class sub-inspector ia the Royal Irish Constabulary, stationed at Tulla-more, King's county, said that on the 6th January he received information as to the case having been forwarded to Tullamore. He took it to Tuliamore Barracks, and it was opened that evening in witness's presence. It contained ten long Sniders with bayonets all complete. The stocks of the rifles were cut obliquely at the middle band.

There were 200 rounds of ball cartridge in the same case marked "Eley Bros." He took charge of the case' and contents, and lodged them at Scotland Yard There was the shamrock mark oa the stocks of the' rifles. Thomas Keaveley, a constable in the Irish Constabulary, said that on the 16th December he was at the North Wall, Dublin, about seven in the morning. Gallagher pointed out two cases to him oa board the steamer lying alongside the wharf He saw the cases removed from the steamer to the quay. One was addressed Halton, Limerick," and the other S. Achey, limerick" About one o'clock tbe same day he went from Dublin to Limerick by train, and saw the same cases at the Limerick railway station.

On the 17th he pointed out the cases to Acting-constable Bobbins, and they were left in charge of the police there. On the oOth December he went to Waterford, and oa the 2nd January he was on the quay there and saw a case taken out of the steamer alongside the quay. The case was addressed to Glin, Kilrush." It was left there charge of a. constable, and he saw the case at the Waterford station some two or three hours later. It was put into one of the railway waggons, and he went by the same train to Limerick, where he again saw it taken from the train.

The lease was left at the Limerick railway station charge of a constable named Grizzel On the following morning he saw the case oa board a steamer for JLilrush, which was Ivin. ainn.rf.. wharf at Limerick He went by the same steamer to Kilrush, where he pointed out the ease to two constables, and lnfr-. it-. i i constables, and lefl the last he saw of it.

About eight o'clock on Tuesday night a splash was heard at the "Wapping Basin, and a person's hand -was seen above the water.

The police were informed, and in about three-quarters of an hour the deceased's body was brought to the surface. "Verdict, Found drowned." On the body of Ellen English, eleven weeks old, the child of John English, a labourer, living at 26, Oriel-street. The child was found dead in bed on Tuesday morning. The medical evidence was that death was from suffocation, and the jury found that it had been accidental. On the body of James Doyle, 38 years of age, a dock labourer, -who lived at 1 house, 10 court, Brassey-street.

The deceased, who had been in bad health for a year, was stated to be a rather intemperate man. He was attended to by Dr. Philpot for delirium tremens about a fortnight ago. He got better of -that, but subsequently an attack of apoplexy. He died on Monday from exhaustion consequent upon excessive drinking.

The meetings were continued at Swansea yesterday, and, excepting some lively scenes at the afternoon sitting, passed off ia a highly successful and interesting manner. Lewis, of Erynberian, next read a terse paper bearing upon the missionary question, at the termination of which the Eev. E. Evans, of Aberayron (an ex-president of the union), moved a resolution urging the churches generally to inspire more of the missionary spirit into their labours and efforts. The Eev. E.

Stephen. A paper was read by the Eev. J. E. Owen, of Llanberis, on the Sunday school in relation to the requirements of the present age.

The author in the course of his 'remarks made use of the term eisteddvod whilst suggesting the desirability of having competitive examinations in the schools on the Lord's Day, and this, having to some degree been misconstrued by a numerous section, led to a remarkably lively scene. Mr. Thomas, of Tginywert, moved a resolution approving of the various recommendations contained in the paper read, which was seconded in a capital speech by Mr. John Cadwaldar, of Festiniog. On the chairman putting the motion to the meeting, the Eev.

Simon Evans, of Hebron, Pembrokeshire, took exception to the latter part; wherein tie churches were exhorted to adopt the recommendation as to the eisteddvod. The Eev. D. Thomas, of Liverpool, likewise strongly protested. The Eev.

S. L. Probert, of Portmadoc, and 3D. Oliver, Holvwell, together with Mr. Beddoe, of Ehondda Valley, delivered their and their respective coadjutor's adjudication on the competitions decided upon by the Sunday School Union, promoted at the union meetings held at Denbigh last year, for the best catechism adapted to meet the requirements of Sunday schools.

The prize of five guineas, given by Mr. A. J. Parry, of Maest-groes, Bangor, was awarded to the Eev. John Jones, of Uangirve, Glamorgan and the award in the competition for answering a number of biblical questions was in favour of the person adopting the mm de plume of "John Jones." -The Eev.

D. M. Jenkins, Park-road, Liverpool, protested against the course taken, and remarked that the meetings were being converted into an eisteddfod. The Eev. D.

D. Thomas, Liverpool, seconded the motion made by Mr. Jenkins, and said that this affair had been brought in secretly and unknown to the union. Mr. J.

Parry retorted warmly that the committee were responsible for the action taken. The excitement at this stage placed the chairman iran unpleasant position, but he soon restored order. Ultimately the resolution was carried in an ameaded form. The Eev. D.

Thomas Eees, of Swansea, asd the Eev. D. Eoberts, of Wrexham, advocated the claims of the Congregational Union Jubilee Fund, and thought the Welsh Churches belonging to the denomination should accept the offer of the London board to contribute a sum of 5000 on condition that 45,000 of the existing debts on places of worship be liquidated during the next five years. J. Parry read a resolution drafted oat by the committee in support of the movement, which Mr. Edmund Thomas, of Maendy Hall, seconded. At this stage, Mr. Idris Williams, of Cymer, Ehondda Valley, again strongly denounced the introduction of the eisteddfodic aspect into the the Sunday school and this gentleman, by his remarks, seeme'd to be labouring under an impression that the union had, by the resolution previously passed, recommended such gatherings as cricket matches, lawn tennis, eisteddf odau, and competitive meetings on the Lord's Day.

There were loud cries of "Order, order," and much uproar prevailed for a few minutes. It was unanimously agreed to hold the next meeting at Festiniog, an application from Dolgelly being withdrawn in favour of that place. The election of chairman was next proceeded with, resulting in tbe selection of the Eev. W. Edwards, of Aberdare.

The Eev. D. Thomas called attention to a movement on foot to erect a suitable and befitting monument over' the grave of the renowned Williams, of Wern, and also announced that a project had been mooted to erect a memorial chapel at Kingslaad-road, London, in honour of the memory of tbe late Mr. John Griffiths (Gohebydd). A mass meeting wai held at the Music-hall in the evening, when addresses were delivered by the Eevs.
