Under the proposed merger, Corporate National would have 'been sold to National Bank in an all-stock deal that would have given Corporate National shareholders .66 times book value, or shareholder's equity, when current sales are going at 1.5 or more times book value. Corporate National is the smallest of the three banks, with $52.6 million in assets. El Camino has $105.3 million in assets and National Bank has $130.2 million in assets.

Following El Camino's lead, Corporate National is looking at other merger or acquisition possibilities but does not plan to get involved in another three-way merger. The second store opened last week in a Dallas mall. A third is on the drawing board to open soon at a Thousand Oaks mall. To date, the concept of an exclusively OP shop has been tried in the United States only as a boutique within a Hawaiian department store. But if the three new shops succeed, Ocean Pacific stores could spring up across the country as they already have in Mexico. OP has been the well-heeled granddaddy of the surfwear industry for the past decade.

But at the same time the brand has become accepted by a larger consumer base, it has lost popularity with younger, trendier buyers. The new stores are aimed at "creating a showcase and exposing more of the line" to 16 to 24-year-old buyers by offering a much bigger selection of OP T-shirts, shirts and shorts than they would see anywhere else, said Jerry G. Crosby, executive vice president of marketing. OP's promotional efforts should get another boost from endorsements by Tommy Curren, who Wednesday became the world's top-ranked surfer for the second consecutive year. dandtmsCBnansM.

The Lasodyne system combines a new hardware configuration ORANGE with special soft-COUNTY ware that has been in development for more than two years.

The system stores car part identification numbers and is used to retrieve high resolution images of automobiles and car parts on the computer screen, said Steve McBride, president of the Tustin-based company. The system will be marketed and distributed through Illinois-based ADP Dealer Services Division, where McBride said he had been a director of marketing for 11 years. Though the technology is not new, "this is the first application of this type going out the door," McBride said, adding that the Lasodyne system was designed to be compatible with ADP computers already in place. Incorporated in August, privately-held Lasodyne was formed by the merger of two computer-related firms, one based in Orange County and the other in San Francisco. Each of the companies was about five years old at the time of the merger.
