The amended suit filed in U.S. District court claims that the board of directors knew of a conspiracy between the company and the ABC official to keep Channel 22 from obtaining the franchise. The suit also charged that Mrs.

Ann Kemper wrote a check for part of the $50,000 allegedly used to bribe the ABC regional manager. The start of the meeting was postponed to today from Monday. Libya, Algeria, Saudi Arabia and Iraq want more revenue from their oil because, they say, it can be delivered to Europe more cheaply than oil from the Persian Gulf. IN ANOTHER development Libyan Deputy Premier Major Abdussalam Jalloud announced that Libya is planning to put together two oil companies, one for drilling and one for exploitation, with the cooperation of international companies. Jalloud did not say what foreign companies would take part in the project.

He said however, that the two companies would function separately from the Libyan National Oil Corp. which he said would have top priority for the exploration and marketing of Libyan oil in the future. The company will file a registration statement with the Securities and Exchange commission within the 10 days covering $20 million in covertible senior subordinated debentures due Mar. 1, 1996. A prospectus will provide details of the issue through underwriters. Proceeds of the offering will be used to reduce short-term bank indebtedness and to provide additional working caital, said Robert B. Jacob and Richard J.

Jacob, chairman and president, respectively. A common stock dividend of 28vi cents a share is payable Apr. 25 to holders of record Apr. 9. The $1.064 a share on the $4.25 preferred is payable May 15 to holders of record Apr.
