Messrs. Froom Brothers, 20, Change-alley, CornhilL E.C. Secretary Thomas Green, Esq. Offices, 1, Arthur-street West, London-bridge, E.C. This Company is formed for the purpose of purchasing and working an established brewery, known as the "Brasserie des Grande Caves," admirably situate at Ivry, about one mile from the fortifications (or boundary) of the City of Paris.

The property is freehold, and comprises the Brewery, built in 1853 (with plant), granaries, malt -kilns, office, stabling, outbuildings, and a suitable residence for the officers of the Company, together withabout20 acres of land, the whole enclosed by a high wall. The vaults (forming one of the most important features in Bavarian beer breweries) for storing beer are upwards of 4,500 feet in length, cut out of solid rock, with carriage entrances. The water, as proved by eight years' experience, is of a character admirably adapted for brewing, and abundantly supplied at a low annual rental. There is also an artesian well on the property, producing water at a low temperature, and used for refrigerating purposes. "Bavarian" or "Lager Beer," is not only preferred by the Parisians, but is the best adapted for the French climate, and, notwithstanding that much of this kind of beer now supplied to the city is inferior in quality, the consumption has doubled in the last six years, and is still rapidly increasing.

Upwards of 80,000 barrels are annually imported from different parts of Germany, the transport expenses and heavy dutieson which increase its price to the extent of about 100 per cent. while it is admitted that the materials, climate, and water of Paris are in every' respect equally good for brewing "lager Beer" as those of Germany. Tlie Directors have provisionally contracted to purchase the premises, fixed and movable plant, casks, horses, drays, machinery, goodwill of the business, and all the buildings, together with the freehold land (about 20 acres, admirably adapted for building villa residences), at a valuation approved by competent English authorities, particulars of which can be seen at the offices. The vender has agreed to take a portion of the purchase money in paid-up shares of the company. The established trade will be continued ithout any interruption, and profits commence from date of completion of purchase.

Two yews since a company was formed at Mayence for brewing "Lager Beer," which now sends a large quantity to Paris. That company has just declared a dividend of 17i and its shares are quoted on the Frankfort Exchange at a premium of 100 per cent. The Anglo-Parisian Brewery Company, conducting its operations at the very place of consumption, and it being the intention to brew a superior quality of beer, may be confidently expected to be even more successful. Applications for shares must be made in the annexed form. Each applicant will be required to pay into the bankers of the Company 1 per share on the number of shares applied for.

and to make a further payment, on allotment, of 4 per share on such shares as shall be allotted. In the event of less than the whole number applied for being allotted, the amount paid into the bankers will be applied towards the payment of 4 per share payable on the number allotted, but in case no allotment be made, the money so lodged will be returned in full. Prospectuses and forms of application for shares may be obtained from the brokers, solicitors, or at the offices of the Company, 1, Arthur-street West, London-bridge, where plans of the property may be seen, and any other information obtained. The Union Bank of London, London. The Union Bank of Liverpool, Liverpool. Temporary Offices of the Company 6, Cook-street, Liverpool 39, Lothbury, London, E.C. Notwithstanding that several new marine insurance companies liare been established within the last few years, it is generally recognised that the means of effecting marine insurances are not sufficient to meet the increasing expansion of trade, insurers being now driven to effect their insurances in remote towns in the provinces, in Ireland and Scotland, and on the Continents of Europe and America. The actual price of shares in the existing marine insurance companies demonstrates clearly that the business is highly remunerative.

Of the new companies, one only has been established in Liverpool, and it has already secured a very large and lucrative business. More than half the exports and imports of the kingdom pass through the port of LiverpooL and there is no doubt, therefore, that another company having its Chief Offices in London and Liverpool will meet with ample support. Under these circumstances the British and Foreign Marine Insurance Company has been established. The business of the Company will be confined to the issuing of Policies on Freight and Goods only, and it is expri ssly provided as a fundamental element in the constitution of this Company that no insurance shall be effected on the ships themselves. The principle of limited liability, as applicable to insurance companies, came into operation during the month of November last.

The Directors, observing that in banking and other important commercial enterprises, limited liability has met with universal favour, have adopted it as an unalterable principle in the present undertaking. Tlie Directors therefore express the greatest confidence in the success of this Company. Such provision has been made by the Directors for the preliminary expenses as will secure the Company against paying any promotiou money. A copy of the articles of association lies at the offices of the Comnanv fol insneetion The prospectus and forms ef application for shares may be obtained of the brokers of tho Companv. Messrs. Macallum and Sidney, Edinburgh. Temporary Offices, 73, Cheapside, London, E.C PROSPECTUS. The City of London and General Fire and Life Insurance Company (Limited) i3 established under the new Act, whereby the liability is strictly limited, and on no speculative basis, but to supply an urgent and growing public want. It commences under most influential auspices, and with support secured both in the metropolis and in some of the principal provincial centres of business and wealth.

The lucrative and important business of fire insurance is, in various respects, in an anomalous condition, involving hardships to many holders of insurable property, and obstructing the natural development of transactions. The value insured against fire in the United Kingdom is increasing, and must continue to do so, in virtue of the general increase of wealth, and, still more of intelligence. Between 1851 and 1861 it had advanced from 858,000,000 to the vast amount of 1,200,000,000. But, considering the progress of public knowledge respecting the advantages and duty of insuring, and that the insurable property in the country is estimated at above 4,000,000,000, the amount so protected would, beyond doubt, be very much larger, but for the obstructions just indicated. The success which lias attended the offices established since the great fire of Tooley-street, as evinced in their first reports, and who have substantially carried out the principles recommended at the Mansion-House meeting of charging fair and moderate ad valorem premiums upon each class of risk, and of not inflicting on the insured an arbitrary and sometimes extortionate tariff, shows the willingness of the public to support a more equitable system, but as no one office can go beyond a certain line of risk upon individual insurances, and the combined offices refuse to do business at any but the tariff or arbitrary rates, it is impossible for them with that prudence so desirable in new offices to meet the demands upon their services.

The mercantile and other important classes are compelled to pay what they consider to be unfair and immoderate rates, or to remain inadequately protected, in very many instances choosing the latter alternative. Under thse circumstances, and considering the great and expanding field presented for lucrative operations, it might be expected that new establishments would be founded to take advantage of so favourable an opportunity. This is the prominent object of the City of London and General Fire and Life Insurance Company (Limited). At the outset the Directors pledge themselves that at no time will they recognise the vexatious system of arbitrary charges, and that their operations shall be a practical protest against it. It may be satisfactory to observe that this is no "promoters' company that there will be no promoters' claims to subtract from the shareholders' capital and profits, as it is brought forward purely upon mercantile grounds, with the cordial friendship and concurrence of practical men of business who have personally felt the necessity for it, and will take an active interest in its career.

Many of the offices which have attained the most distinguished success have arisen under similar influences, which constitute the soundest origin for an institution of this class. It is intended to establish Offices in Liverpool, Glasgow, Edinburgh, Belfast, and other important districts, where powerful connections and extensive circles of supporters are formed. Of the Life Department, it will here suffice to observe that it will be conducted in accordance with the spirit of genuine and progressive improvement, and based upon the principle which has invariably obtained success that of presenting alike to policy-holders and shareholders the largest measure of profit compatible with perfect security and enduring benefit. By embracing the two great classes of insurance in one general management (whilst keeping the special administration of each distinct), the important objects of economy and of energetic action are served. With such an arena for advantageous operations, the Directors feel justified in bringing this institution to the notice of investors as one possessing, in un eminent degree, the elements of great success.

MESSRS. SWAN and EDGAR having found the demand for the Reduced Silks they had lately the honour to announce for sale to be so great and the sale so rapid. have been induced to reopen negotiations in the French markets for several other lots of RICH FANCY SILKS, upon which the patterns being to a great extent their most recent productions the manufacturers were unwilling, on the occasion of their former visit, to make such a reduction in price as would have enabled them to sell the goods at the very low rates with which the public are familiar through the sale of the first lot. SWAN and EDGAR are now in a position to announce the entire success of their negotiations, which have resulted in the purchase by th of six additional lota of Rich Fancy Silks, including many patterns they had bought within the last few months at full prices for their regular stock. The present, which in the aggregate considerably exceeds in extent and value even their previous lot.

embraces every variety in class and style "of Fancy Silks, and adapted to ladies of every age, for walking, dinner, and evening wear. A large quantity of Black Silks will also be found in this lot. Ihe Goods having just been received, a few days will be unavoidably occupied in preparing them for the Sale, which will begin on WEDNESDAY, the 21st inst. In soliciting the attention of the Nobility, Gentry, and the Public generally, to this very large lot of First-class Silks, Swan and Edgar lay special emphasis on the circumstances under which they have acquired theie goods, the continued depression prevailing in the French silk trade, which is the sole cause (assisted by the magnitude of their operations, of their being enabled to shew the best productions uf the looms of the first manufacturers in Franca at prices so far below the natural value of such goods.
