The Preference Shares will be issued at par, and be entitled a PreferCTltial dividend at the rate of 6 per cent, per annum, and the net profits of -the colliery will alss be subject to a sinking fund to be applied in paying off the Preference Shares in annual drawings, so that the entire preference capital shall be extinguished within eighteen years, or at an earlier date should the profit permit, at the discretion of the directors. If in any year the profits be insufficient to pay the preferential dividend and provide the sinking fund, the deficiency shaU be a first charge on and be paid out of the profits of suexeeding years. Coyiia 1.re held Ullder leases for the most part from the Honourable Mrs. Ingram and her predecessors in title, expiring in 1893 and 1899, subject to very reasonable royaltie At the expu-ation of the present leases the Company will be in ttebest possible position to treat for a renewal on equitable The present mineral rights extend to the Stanley Main seam, 80 yards from the surface and over 6 feet thick, and the Silk-stone seani, upwards of 4 feet thick and about430 yards from the surface both those seams being now in active operation, and worked from separate pits, having a downcast shaft and an upcast shaft to each seam. The ungot coal in the property amounts on a careful estimate to upwards Of 13.000.000 tnnx. The plant, machinery, and works are of the most modern and improved description, and amply capable of producing an out-nut of from 10,000 to 12,000 tons per week, and during the twelve months ending December 31st, 1873, according to the official Government return-, 411,500 tons were raised. The coals at present worked are of exceUent quality for house, gas, and steam purposes.

The situation of the collieries is one of the best in the Kingdom, having sidings on the Midland, Great Northern, and North-Eastern Railways at Altofts Junction, and its own shipping staiths on the Aire and Calder Navigation without paying wayleave Royalties for transit, common to many collieiiesl, thus affording short and cheap communication with tho whole of the West Riding of Yorkshire and the sh pping ports of Selby, Goole, HuU, and Grimsby. Besides the special advantages which these collieries possess in their connection with the three principal railways and the canal already referred to, they have also direct communication, via Normanton, with the whole of the Lancashire and Yorkshire and London and Northwestern systems, thus practically giving them access to all the principal markets in the Kingdom, and three distinct routes to London by the Midland, Great Northern, and North-Western lines (independently of shipping communication) at the same rates as the most favourably-situated collieries in the South or 01 Kbmre ujscncis. A large shipping and foreign trade has been developed from Hull, where extensive machinerv. with Hteam hoppers for the reception of 1200 tons of coal at a time, have been erected at a cost of upwards of 10,000, enabling the Company to load a steamer of 1000 tons in from eight to twelve hours. All debts due by and owing te Messrs. The above calculation is not only based upon an out-put considerably under that actually raised during the year ending December, 1873, but also upon a rate of profit much below that realised on the average of the last five years.

They will thus be enabled, by the outlay of only a limited amount of capital, to realise the full net profit of the re-sales for distribution amongst the proprietors of the comparatively small amount of share capital embarked. The success with which the recent street improvements in London and mmy important provincial towns have been carried out is well known, though in no case have powers been conferred by Parliament on a private Company over properties of so extensive a character as in the present instance, and it is confidently believed that the exercise of these powers will be attended with very satisfactory results in large profit to the shareholders. For some years past a tramway has been in successful and profitable operation between Swansea and the Mumbles, one of the principal suburbs. The Company has acquired running powers over this tramway, and the power to purchase or lease it by consent also powers to construct tramways from Morri-ston and Sketty, the two other principal suburbs, to the markets, docks, and centre of the town, the cost of which wfll not exceed 30,000. These tramways, in conjunction with that above-mentioned, will constitute a complete tramway system for Swansea, and looking to the very large population along the hues of route, a handsome return may be expected on the moderate outlay required.

Fer this branch of the Company's undertaking the accounts will be kept distinct from those of the improvements. There is this exceptional feature in the shares of the Company, that they will, bo far as the outlay upon the improvements is concerned, be represented by a proportionate interest in freehold and long leasehold properties in the main streets of the centre of an important town, where besides, premises are in great and increasing demand.
