Wick-low Stock continues scarce, and the price for cash is fully 14 per cent, higher.

There were no transactions in Railway Preference. The same remark might be applied to Railway Debentures, only two Stocks being dealt in, and both unaltered iu price County Down Four Per Cent. Tenders' Wera SeoeivBd at the Bank of England bruary last, when, under the delusive allurements of the then proposed Fusion Bill," the proprietors were asked to adopt, a scheme of amalgamation with the South-Eastern Company, which to a younger undertaking, such as the London, Chat-hum, and practically amounted to confiscation.

Thanks to the unanimous support accorded me by the proprietors in opposing the fusion on such absurd terms, the obnoxious measure was completely annihilated. At that time I used the following words Gentlemen, a great deal has been said by honourable proprietor who have been in correspondence with me as to the effect of this fusion upon thoir various interests. 1 tell yon plainly and honestly that the danger to the preference who is always acautious man; is quite as great as it is to the ordinary shareholder, and therefore 1 exhort the preference shareholder to be as much on tho alert as the man who isliviugoutirely upon hope and waiting for tho future. And I feel conlldent that those of us who are spared till 1882 to meet in this room will feel thankful that they have to-day resolved to remain in a state of independence. The price of the Ordinary Stock was then 21; it is now 29.

At that time my estimates and opinions were regarded by marly as visionary; but the results have shown that they were by no means overstrained, and that my warnings as to the disastrous consequences to the London, Chatham, and Dover if the proposed fusion with the South-Eastern had been carried out upon the inadequate terms offered, were amply justified. I then calculated that upon the basis of the proposed fusion, the value of the Ordinary and Preference Stocks would be considerably lessened, but that the London, Chatham, and Dover in its independent position possessed an amount of vitality whioh would in time assert itself. In contrasting the position' of the Company now and six months ago, it may be well to point out that if the arrangements for the fusion had been suecessful, the London, Chatham, and Dover, instead of benefiting by the improved working of the line for the past half year, would now be called upon to hand over a large portion of the net profits to the South Eastern Compuny. In the half-year ending December last, the increase of traffic on the South Eastern was 20,000, while the London, Chatham, and Dover gained no less than 21,000. According to the statement of Mr.

Forbes the results of the fusion at that time would have been that this Company would have had to pay 7S)00 from it3 net earnings instead of receiving from the South Eastern (as had been anticipated) the sum of 24,000. The announcement of the dividend of 3J per cent, on the Preference against 2 143 last year and the report just issued show that the net revenue for the year ending June, 1878, has been 34,497 more than in the preceding twelve months, while the South Eastern during the same period has increased onlv 23,440. If the Fusion Bill had been carried and the net profits of tho two Companies divided in the proportion then proposed of 31 to the Chatham and 69 to the South Eastern, the amount of earnings available for the Chatham would have been only 17,960, and the Company would, therefore, have had to surrender to the South Eastern 16,537, or a sum sufficient to pay nearly per cent, on the whole of the Preference Stock of the undertaking. In other words the rejection of the scheme of fusion has already brought the Chatham Ordinary Stock to that extent so much nearer to a dividend. Under the suggested Fusion the net profits on the first year were to have been divided as above Btated, in the proportion of 69 per cent, to the South Eastern and 31 per cent, to the London, Chatham, and Dover Company, whereas the actual increased results have been in the proportion of 59J per cent, to the London, Chatham, and Dover, and only 40J to the South Eastern Company, which is about 29 per cent, under the estimate of the proportion of net profits proposed in the Fusion Bill According to the then contemplated scale of division it will be seen Jthat the South Eastern, to render the proposed arrangement just to the Chatham proprietors, should have contributed 76,800 increased net revenue against the 34,447 of the Chatham system, whereas it was really 11,057 below the earnings of the Chatham Company.

This question of the relative increase of business on the two lines is one of vast importance to the Chatham company, and it is one which does not appear to have received, the attention which it deserves. For the twelve months ending June, 1878, the gross increase of the South Eastern was 57,000, and that of the London, Chatham, and Dover 52,000. The South Eastern, however, has a mileage of 351, while that of the London, Chatham, and Dover is only 163. The increase on the South Eastern system has thus been at the rate of 163 per mile. It has been 340 per mile on tho Chatham line, or more than double that of the South Eastern.

In connection with this growing increase of business on the Chatham and Dover, it must not be forgotten that that company has now several sources of revenue not hitherto available. The chairman of the Metropolitan Railway in his report to the proprietors states that a new service of trains has been organised between King's Cross and via the London, Chatham, and Dover'B City Section, -with the South Eastern Railway by means the junction at Blackfriars, thuB bringing the great railways north of the Thames, the. Great Northern, Midland, and Great Western (and before long the London and North Western) in direct communication with the whole of the South of England. This new traffic when developed will be an important addition to the business of the Chatham and Dover, as the service will be over the most costly portion of its system, and the tolls over which at 6d. per ton for goods, and 4d.

per ton for coals, for lesg than one mile or more than four times the ordinary rates. The traffic with the Continent during the next few months will be considerable, and the special attractions offered by the London, Chatham, and Dover Company's twin ship, "Calais Douvres" will, doubtless, be largely availed of by visitors to the Paris Exhibition. When it is remembered that a gross increase of 1,500 a week will be sufficient to the full interest on the Preference Capital for the ensuing year, shareholders cannot fail to regard the present receipts as highly satisfactory. In the four weeks of tho month of July the total increase amounted to 7,672 or an average increase of 1,918 per week as compared with the average increase of 1,460 on the South Eastern. In comparing the increased receipts per mile of the two companies, the results are still more significant, the Chatham realising 51 and the South Eastern 17.

In other words the increased receipts per mile of the Chatham are three times greater than those of the South Eastern. With such facts and figures which cannot be refuted it is not surprising that the discerrning investor (who can afford to wait) is buying the Preference and Ordinary Stocks of this rapidly improving property. It ib a feature of very considerable importance that the exceptional position of the London, Chathm, and Dover Company, rs a great Metropolitan Railway, is at last beginning to be acknow-ledged. The abairman of the South Eastern, Sir E. Watkin, in addressing the proprietors last week, made the following statement whioh has all the more value as coming from him Some of the shareholders might ask him how it was that the company had a net, increase of only whereas the Brighton and tho Chatham had had a great deal more.

-He was bound to say the ha Jf -year's accounts did not satisfy him; i he thought the expenses had increased in a way which requiied some explanation, and that the increase of traffic, although satisfactory, was not so large or satisfactory as they could have wished; they had ab ut 350(10 a year to pay the Chatham and Dover under tho continental traffic agreement; and, they had not that access to the north tide of the Thamos in fijll, proper, and complete working vAlch was enjoyed by Chatham arid the prighton. He believed that in goodsandinineralB theirtwo competitors were getting from the Northern lines, by way of Kensington, the Metropolitan and District railways, and other directions, probably between them something like 1,500,000 or 2,000,000 of tons, whereas the South Eastern's was a very small quantityindeed. In addition to this they had put on' an experimental system of trains at work by way of the Blackfriars branch, arid, so far, considering their small number and the newness of the service, they were doingfairly well; but their competitors, especially the Chathani and. Dover, hail complete, access to the system of underground railways. Access to the Metropolitan and District systems, and to those systems branching out of them, meant practically being at the doors of almost all the population of London, and the absence of thoseaoilitlesmeant something very different.

It iB significant that a man possessing the Bhrewdness of Sir E. Watkin should at last publicly acknowledge the vastly improved prospects of the London, Chatham, and Dover Railway, nor is it to be wondered at that he should have made a strong effort last year to secure for his ComDonv TESTIMONIAL TO EOBERT KELLY, EX-POLITICAL PRISONEE. It is needless to remind you of the charge which sent Robert Kelly to a convict's cell, or of the sentonco so disproportional with the nature of that charge these facts are still fresh in tho minds of his countrymen. It is now your privilege and your duty to come forward and roscuo this brave man from penury. Let it not be said of the Irish people that whilst they panegyrise doad heroes, thoy neglect living worth. You cannot rostore.to liim the fine constitution that has been shattered or the years he lost from homo and family, but you can make his premature old age bearable by placing him above want and enabling him to provide for the wife and family to whom a fond husband and a loving father has now been restored.

It is to enable us to carry out this purpose that wo address you, and wo feel conlldent that your response will bo such as to render the testimonial to Robert Kelly alike worthy of tho people from whom it comes and of him to whom it is offered.
