Section 3. In addition to the foregoing specifically authorized powers, this corporation shall have and exercise all the rights, powers and privileges now or hereafter belonging to or conferred upon corporations organized under the provisions of the law authorizing the formation of such corporations. Without in any particular limiting any of the objects, purposes or powers of the corporation, as hereinbefore set fortli. the business and the corporation need not be stockholders. The officers of the corporation sbalj be chosen by the Board of Directors at the annual meeting of the Board of Directors which shall be held in each year immediately after the meeting of the stockholders. ARTICLE EIGHT. MEETINGS OF STOCKHOLDERS. Section 1. The first annual meeting of the stockholders o£ this corporation will be held at the office of this corporation in the City of Mason City, Iowa, on the first Friday in December, 1931, and annually thereafter, at such hour and place as may be fixed by the Board of Directors. Section 2. Special meetings of the stockholders may bo called at any time by the President, and the President will be required to call such meeting upon direction of the Board of Directors by a majority vote thereof. Section 3. Notice of alt stockholders meetings, cither annual or special, shall be given by mailing to each of the stockholders at the address shown on the stock book a notice in writing-, which notice shall be mailed not moro than fifteen (15) days nor less than three (3) days before the day fixed for such meeting. Section 4. 'At all meetings of stockholders a majority in interest of the holders in stock shall constitute a quorum. Section 5. At all meetings of stockholders, the holders of stock as their names appear upon the stock book of the corporation wi'l be entitled to one vote for each share of stock, which vote may be cast either in person or by written proxy. One Block South of 1'iirk on Wiishington Legal Notices ARTICLES OF INCORPORATION OF IMPERIAL SILVER FOX AND « FUR COMPANY' We, whose names arc hereunto subscribed and all others who may hereafter join with us, hereby associate ourselves together in a body corporate under the provisions of Title XIX of the Code of Iowa, 1927, and acta amendatory thereof and supplemental thereto, assuming all of the rights, powers and privileges granted bodies corporate under the law 'and in pursuance thereof do dopt the following Articles of In- orporulion. ARTICLE ON.K. NAME. The name of this corporation shall e and is "Imperial Silver Fox and ur Company." ARTICLE TWO. PRINCIPAL PLACE OF BUSINESS. The principal place of business of his corporation shall be at Mason City, in the County of Ccrro Gordo and State of Iowa. ARTICLE THREE. POWER AND PURPOSES OF CORPORATION. Section 1. Among the powers of .his corporation are the following: To have perpetual succession; to me and be sued in its corporate name; to render the interests of stockholders transferrable; to exempt the private property of its members from liability for corporate debts; to make contracts, acquire nnd transfer property, possessing the same powers in such respects as natural persons; to establish bylaws nnd make all rules and regulations necessary for the management of its affairs. This corporation shall have no corporate seal. Section 2. a ) This corporation shall have the power to buy, sell, breed, raise, import, export, exchange, .ranch, handle, deal in and care for silver black foxes and other from time to time, to do any onc or more or all of the acts, things ind business in any manner connected therewith or necessary, incidental, convenient or auxiliary thereto, or calculated directly or indirectly to promote the interest of the corporation or enhance the value of or render profitable any of its property or rights as such a corporation may lawfully do; and in carrying on its business or for the purpose of attaining or furthering any of its objects, to do any and all acts and things and to exercise any 'and all of the powers which a corporation or a natural person could do and exercise and which now or hereafter may be authorized by lav/ and either as or by and through, principals, agents, attorneys, contractors, factors, lessors, lessees or otherwise, either alone or in conjunction with others and in any part of the world. Section 4. All o£ the foregoing shall be construed both as objects and powers, but no recitation, expression or declaration of specific or special powers or purposes herein enumerated shall be deemed to be exclusive but it Is hereby expressly declared that all other lawful powers not Inconsistent therewith are hereby included. ARTICLE FOUR. CAPITAL STOCK. The total authorized capital stock of this corporation is Fifty Thousand dollars ($50,000.00) divided into five hundred (500) shares of One Hundred Dollars (iflOO.OO) each, and which at the time of issue shall be fully paid and nonassessable. ARTICLE FIVE. CORPORATE LIFE. Tho legal life of this corporation will begin on the date of the issuance of its certificate of incorporation by the Secretary of Slate of the State of Iowa and shall terminate at the expiration of twenty (20) years from said date, unless sooner dissolved by a three-fourths vote of its .stockholders, except as the same may be renewed or es- temled in the manner provided by ARTICLE NINE. ; PRIVATE PROPERTY EXEMPT The private properly of tins stockholders of this corporation shall forever be exempt from liiibil- -ily for corporate debts. ARTICLE TEN. AMENDMENTS. Amendments to these Articles, except Article Nine, may be mad') 1 at any annual meeting of the stockholders or at a special meeting of | the stockholders called for that purpose upon a two-thirds vote of all I slock in interest voting for BUC'U amendment. ARTICLE ELEVEN. CONVEYANCES OF REAL ESTATE. Section 1. The first Board of Directors named in these Articles will hold office vmtil the annual meeting of stockholders in the year 103.1 and until their successors have been duly elected and have qualified. The Board of Directors may fill vacancies occurring in its membership between annual elections by the election of qualified persons to hold office for the remainder of the term. The Board of Directors shall have full charge of the corporation and may select agents and em- ployes for the convenient transaction of Its business. ARTICLE MKVEN. OFFICERS.
