Negotiations are said to be now in progress tn New York for the purpose of effecting a deal whereby the Union Pacific is to sell to the Alton its Kansas Pacific division, running from Kansas City direct to Denver.

The Union Pacific has no particular use for this property. It is not connected east of Denver with its mala line, and the latter finds an outlet to Denver via the Julesburg cutoff, which was formerly owned by the Union Pacific, Denver and Gulf, but was acquired about a year ago by the Union Pacific. The Alton needs the Kansas Pacific badly, having no independent outlet west of Denver. These rebel forces include those tinder Colonels Lucuna and Teson, who last Wednesday captured Captain Alstaetter of the Engineer Corps and eleven cavalrymen. Last Saturday General MacArthur, with en escort of officers, went to San Fernando end met General Alejandrino at a conference that had beer, previously arranged.

It is eaid that tho rebel General offered to surrender the forces under his command and to produce Aguinaldo on certain conditions, which were not made public. What the result of this conference was has not been disclosed by the War department, Notwithstanding the reported renewed activity on the part of the Philippine rebels, the officials of the administration are confident that all resistance to the United States by Philippine rebels will soon be at an end, and that the bands of guerrilla warriors will accept the amnesty granted by the United States, lay down their arms, and cease all resistance. There are already indications that many of the rebels are willing to surrender and are now awaiting the opportunity to do so. Some of them have already laid down their arms, but little hope is entertained that Aguinaldo will surrender, as he will exact conditions which cannot be granted. It is believed, therefore, that he will make his escape from the archipelago.

Present Arrangements Undisturbed. The present close traffic arrangements between the Chicago and Northwestern and the Union Pacific would in no way be disturbed by the contemplated Alton deal.

The Northwestern has no line to Kansas City, and consequently does not connect with the Kansas Pacific, but it has a direct line from Chicago to Omaha and makes connection there with the main line of the Union Pacific, both for Denver direct and via Cheyenne to the Pacific coast. Through sleepers are now being run over the Northwestern and the Union Pacific to San Francisco, and Portland, Ore. Reports have been circulated lately that the Union Pacific is to absorb the Chicago-Council Bluffs division of the Chicago and Northwestern, and thus secure a line of its own from Chicago to Portland. Ore. No credence Is placed by railroad officials here in this report.

They think it more probable that the Northwestern should absorb the Union Pacific. But they can see no good reason why such a consolidation should be made, as it would help neither tkeNorth-westem nor the Union Pacific. The two road-are now so closely allied that they are practically one system, so far as throuh business Is concerned. The body was burled there, but was disinterred and brought to the United States on the transport Dixie, which arrived at New York yesterday. The body will be buried at Arlington on Friday with military honors.

The family of the late Lieutenant, Including his wife and Children, are here to be present at the ceremony. Lieutenant Emrich was only 30 years old, graduated from the Naval Academy in 1891, and was a member of the Engineers' Corps. He was an officer of the Baltimore during the Chilean trouble, when a number of American sailors were murdered by the Chilean police, an incident that came near Involving the United States and Chile in war. He was an officer of the Boston when the American flag was raised at Honolulu, and was present when that emblem was hauled down. He was also stationed at the Norfolk Navy Yard, and during the Spanish war saw service on the supply ship Southery.
