Frankfort, December 2. Blank. proxies tore being mailed to the hundreds of stockholders of the United American Insurance Company by Charles E. Dexter, of Frankfort, urging the stockholders to rally around him at the meeting in Nashville Monday, January 26, to prevent the merger of their company with the Henry Clay Fire- InsuiUnce Company, of this" city. Each proxy is accompanied by a letter setting forth the terms of the merger, which, Dexter claims, will result in a loss of 1122,000 to the stockholders oC the United American Insurance Company.

He says there is $242,000 of capital stock of the United. AmerlcUn Company held by the stockholders, for which is proposed to give 120,000 worth of stock In the Henry Clay Fire Insurance Company, and that the stockholders of the United American will lose 122,000 of par value oh account of the trade. Henry S. Vansant. former Assistant Insurance Commissioner, iys the Henry Clay Fire Insurance Company proposes to pay the United American Insurance Company in stock at 25 p-ir share, the par value of which is and that inasmuch as the real value of the United American is the United American stockholders would lose imr.000, and the United American -stockholders would get less than 50 per cent of their original holdings.
