SUMMARY OF CASES. Mr. Justice Sargant has bcpim the hearing of an action which raises a question of pome im IKrtancc to trut investment companies. The plaintiff sues on behalf of himself and other holders of preference stock in the defendant company for a declaration that it Itcyor.d the K)er of tho directors to transfer to th rrvenne rr erw account any sum' which represented tlic discount on redemption of the company" delK'nture i tock or to distribute that feuni by way of dividend. The plaintiff also asks for an injunction to restrain distribution of the amount.

During the war the company's inves tmcnts depreciated in value, and the direc tors redeemed a quantity of the debentures at a discount. The plaintiff says that tho amount of the discount was wrongly transferred to the revenue reserve account, and he claims to lie entitled to brine into current revenue the whole sum to be distributed as dividend. By the memorandum ot association of the company, which was incorporated in 1000, the; principal object of the company (as is usual tn such companies) was (clause 3 fa) to acquire and hold bonds, shares, stocks, obligations, debentures, debenture stock, scrip, or securities, and from time to time to change such Investments for others of a like nature. The memorandum also gave power to borrow, in Larticu lar by the issue of debenture, stock. During the war the company's investments de nrcciated in value. and in 1917 and 1918 the market value of the debenture stock issued by the company" was about 78 for every 100 of debenture stock. The directors thought that this afforded a favour able opportunity to redeem debenture stock, and they redeemed nearly 29,000 of it at a discount of more than 6,000 below Its nominal value. The redemption was stated to have been effected in part by payment to the holders of the redeemed stock in cash obtained by a sale of investments of the company, but for the greater part by transfer to the. holders of the redeemed stock of'investments forming part of the capital assets of the company valued at their market value at the date of transfer.

The complaint of the plaintiff was that on the completion of the transaction the directors wrongly had transferred the 8,000 discount sum to the revenue reserve account, and he claimed to be entitled to bring into current revenue the whole of that sum, and distribute it by way of dividend among the stockholders. The plaintiff referred to notice of a general meeting and a directors' report as showing that 8A0 derived wholly or partly from ih 0.000 was to be distributed as dividend. The general meeting had in fact sanctioned the payment of the proposed dividend. On a motion for an injunction before Mr. Justice Younger, as ho then was, that learned Judge held, on June 8, 1919, that no part of the discount could bo distributed as dividend.

The action now came on for trial. Mr. Alexander Grant, K.C, and Mr. W. F.

Swords were for the plaintiff and Mr. tialbralth, K.C, and Mr. V. P. Spens for the defendants.

3lr. Grant nald that if the discount was profit, it was only profit of the company and not of the company's business, and payment of the amount Was contrary to article 125. It was a capital profit and ought to be 'carried to capital reserve account. 1 1 could not be carried to revenue I reserve account or distributed aa dividend.
