The directors therefore entered Into negotiations with the African and European Agency (United), and finally a proviidocal agreement was entered into for the purclase of the remaining three fourths Interest in the liquor concession (this company already held the other one fourth), a sum of 100,000 in cash, and th option to purchase the assets of the Forbes Beef Gold Mining Company. As consideration for the purchase the directors agreed to give the Agency Company 118,110 fully paid 1 shares, sad an option to take up an additional 77,000 shares at SSe. per share. The shsxeholders of that company had confirmed the purchase, so that the Forbes Reef property might now be considered a part of the assets of this company. In order to enshle the corporation to carry out the transaction the directors resolved to increase the capital from 300,000 to 500.000, which, should the option of the Agency Company be exercised, would leave 11,500 shares for future ismie by the corporation. They would now have the sole richt over the whole of thelMToortramcof the country, whilst the purchase of the Forbes Beef Company's assets would give them the sole right to work all the minerals of any kind and all mKinj. rights of everr deecription for a period of 81 years from date. In addition the directors would have paid 30,400 in debentures, besides the premium on redemption at 5 per amounting to 1,500, and they would also have carried 20,000 to reserve. The shortsge of production consequent upon the scarcity of workmen had been partially remedied. The labour deficiency had existed at other ojiciruu, so that the total production had been lew than was anticipated and more nearly in accordance with the requirements of trade. Thus a fairly profitable price had beda maintained. The profits for the current half year were showing very satisfactorily.

With regard to certain lejal proceedings which had attracted attention lately, he wuhed to tay that some time before the company was established the former owner had a claim against the Liverpool Nitrate Company for treepas. log on their grounds snd extracting a considerable amount of caliche. Th claim wss taken over by the present company as an asset. The lawsuit In regard to the matter had been going oa for about five years, and the latest phaee was the advice received a chort time ago to the effect that judgment had been given by which the Court gave the company aa embargo on the Liverpool company's property to the extent of 33,009 as security for any ultimate Judgment they might recover. He then moved the adoption of the report and the payment of the dividend mentioned.

In moving the adoption of the report, the chairman congratulated the shareholders on the growing prosperity of the company. lie remindod them that in the prospectus it was estimated by Mr. Bits (general manager) that th net profits would amount to 40,000 per annum. The account for the first year's working thowed an advance of 8,000 on the prospectus figures, and for the period under rev lew the profits had been 23,000 in excess of th original anticipations of Mr. RlU.

These results had been obtained after making ample provision for repairs and renewals in fact, since tho opening of the hotel about 15,000 had been expended on and renewals. Alluding to the reserve for amortization of leases and the sinking fund for redemption of debentures, he said that at the rate established th company would on the expiration of the leases not only have paid off the debenture debt, but they would also hsve a sufficient sum in hand to repay the whole of the preference capital and one half of the ordinary share capital, irrespective of the general reserve. The sinking fund had hitherto been Invested by the trustees in the purchase, in the market, of the company'a own debentures, which were not redeemable until 1005, and he did not think that they could do better than continue that policy so long as the debentures were procurable below redemption price, Th Item of in vestments at oost represented the company's interest in the Hyde Park Hotel, which was acquired on advantageous terms. U. Brand, Jl.P., seconded the motion, which was adopted, and the final dividends, as recommended, making 10 per cent, for the year on the ordinary shares, were approved. The chairman afterwards moved a resolution for extending the, borrowing powers in connexion with the Dronoeeasoauiaition of the Walsincham house Hotel and the Bath Hotel. He said that the board some time ac cam to the conclusion that, sooner or later, it would be necessary to acquire another property in IjQTvlnn in order to establish a business of a somewhat different character from that done at the Carlton Hotel, where they were always working at high pressure and had not sufUcieat accommodation to meet the demands made on them. At the Carlton Hotel they had only 230 bedrooms for visitors, but there were usually 500 people tietiC on the premises, and a larger number came in to sepper.

The directors were not unduly alarmed at that threat of competition, but they would, of course, sooner be without it. In connexion with the alterations which would have to be made for adapting Walsingham hotaw snd the Bath Hotel to their requirements, an opportunity would be afforded the I authorities of widening Piccadilly. Replying to a ahare holder, the chairman said that the complete scheme contemplated to be carried out would cost between 500,000 ad.600,000. The resolution was carried. This was chiefiy accounted for by the additional stamps running during that time, and by the full use of the electrically transmittedtransmitted power.

The difference, however, was more accentuated if they compared the first quarter of the current year with the first quarter of the past year. Th gross profits for the quarter ended September 30 last amounted to 4,833, or at th rat of nearly 20,000 per annum, against 13000 but year. The tenth onflnary general meeting wss held yesterday at the Holhorn Restaurant. Mr. Thomas 3. BarraU. who presided, said they had now completed their first decade as a company, and he thought it would bei admitted that the trading result during that period had been satisfactory.

Within a tricing amount the ordinary shareholders had had the whole of their capital retnraed to them, the dividends, having been at the rate ef 10 per cent, per amram, In addition, ample provision had been mad for depreciation. Sine 1893 the bonness had gone on steadily Increasing, In spite of the exceptionally zees competition in the soap trade, and the company now had by far the largest turnover of any toilet soap makers in this world. Th diminution in th profit was due to a cause which hsd affected the whole of the trade namely, the high price of raw materials, especiallv of tallow. During the period undr review the cost of raw materials had been 10,000 in exoces of what it would hsve been if average prices bad prevailed. Ha felt sanguine that when raw materials were draper the trading results would show an improvement.

Dealing with tho accounts, he remarknd that since the formation of the company the bad debts had been at the rate of only 21a. per week. Against the 200,000 of debenture stock there were securities which were worth at the present time from 150.000 to 160,000, leaving only 40,000 chargeable to the whole concern. In conclusion he moved the adoption of tho report, which was seconded by Mr. Frederick Cordon andcarried.
