The half yearly general meeting of the Loitdox and North Westers Kxilwxt Company was held yesterday at the Etutoa Station. Mr. Bichard Moon presided, and in moving, the adoption of the report stated that the accounts showed a dividend at the rate of 7 per cent, per annum, and they nad add early 28,000 to tne reserve fond, Ucreaiing that fond to what appeared a considerable torn namely, 87,000. That was, however, a very small margin corn pared with the enormous amount of inoome and mtereit which they had touistribute among the shareholders and the debenture holders. The traffic of the half year, considering the depreued state ot the trade of the country, was not to be complained erea with Ireland the traffic had been trly maintained.

If law and order prevailed and thinjiaettleddown in that country it trade would improve the company would hare their share of it. In the hope that that would be as thy had ordered two new steamers of the most modern type to replace two of the old one, which were not quite suitable for carrying the traffic. He had been rather surprised at seeing a remark made by the Postmaster General the other day to a deputationthat the want of a connecting line through Dublin counterbalanced some of the advantage that the Cork and Queenstown line would have for the American mails. The right ban. gentleman did Dot seem to be aware that there was a communication already existing and complete that the trains of the Great Northern of Ireland, of the Midland Great Western of Ireland, and of the Great Southern and 'Western of Ireland ran every day into the company's station at North Wall to meet the arrival and departure of their boat there, and carried paasengers and traffic to all parts of the north, writ, and south of Ireland, including Cork and Queenstown and that it only remained with the Fot Offiee itadf to make uaa of that route.

Moreover, he (tha chairman) believed that if it were used the delivery of letters ia those parts of Ireland would be at least an hour earlier than was now the case, and that the expense te the country wo old be much less than it waa at present. The I'oat Office, however, nut settle that point for itaelf Probably they had seen the prudent reply given by the President of the Board of Trade on Monday nirht in the lioaae of Lords to the speech of Lord De La iVarr. If Lord De La Warr had don the company the honour of coming and asking them a question on the subject he did not think his lordship would bare made the statement which he did as to the Korth Wcstern Company but as that ttatement had rone aoroaa it was only right that he (the chairman) should tell the meeting what they had done. The brake of which his lordship had spoke so disparagingly a tmU ntrA bv one rail war bad been used for manv years almost without a failure, aad without the smallest and had worked but (tha chair manVhad told tha proprietors some tune ago that, finding most of the large companies la their neighbourhood were using the vacuum brake, they had themselves determined to apply it. and that it would cost the company 110.000 to do so.

They had applied it, and had more than half of doV fit with it in addition, in deference to the wishes of some of the neighbouring com panic, they had also arrecd to intract their officer to make the brake auto matic, aitd that thy were doing at a cost oi tj.uw. it Ju Kamt. lfka them to ran a war with the idea that the continuous Drake, which Lord De La Warr so strongly recommended, was to do awsy with all danger. On the contrary, it had it own spedsl dangers. He (the chairman) was not la favour of it.

but In deference to tho general desire of the community and the wishes of the Board of Trade they were adopting it. One part of the report end perhaps the most important pari had re rersoee to tha Railway Rates and Traffic Bill which the Poriziizacst bad Utimattd intention, of inUvdadng Into the House ef Lord. It was a most important BB1 for tne company, ana wonia requtr toe consiaeratton tney could givs to it. They did not know what might be the riews of the Goremmaat but remembering their inter view with the late President ot the Board of Trade last session, and what then passed, he trusted that prod cut counsels would prevail, and that: no attempt would be made to injure the ptoptrty of tha railway. They mast not, however, forget what a Minister once said to them that no man can tell what a democratic Parliament wQl do." and therefore it became the duty of every shareholder to watch tha progress oftheBilL It must not be supposed that the company bad doo nothing ta meet tha depressed state of the trade of the country.

In August last he told them that a large proportion of the falling off la their trams receipt was attributable to the redaction el raVe which they bad made. They would notice again in tha account for the past half year that there was a very Urge increase La the tonnage cJmerrJiaruiiae. traffic, andone might say, no change in the receipt for that large amount. Moreover, he thought railways generally had shown that they were Inclined to do all that was need! ul to make their working ia conformity with the requirements of the day. Only two or three years ago they introduced Bills dealing with the classification of rates, and trying ta make them auitable to the modern requirements and working of to dsyt but those Bill fell through.

He did not think he could show them better the indinstian of all the corn pan ie than by reading them an extract from tha petition of the North Western Company to Parliament lat session. They said Your petitioners hare been, and still are, willing to endeavour to arrange by agreement with the Board of Trade a consolidation and simplification of the various classifications contained In the numerous Acts ot Parliament relating to their undertaking, and to agree upon an equiiaoie read jusimeni to sucn renaea eiaanncaiion of their svin'muw powers of charge, da regard being had ta their present powers, and to tha security upon which the capital of their undertaking has been raised." Of all the immrtant and most difficult mints in connexion with the question ot rates wss what were called the differential or preferential rates The railway chairmen had met the President of the roara of Trade soma time ago on tne matter, suggesting that a commusion should be appointed to consider the abject of differential rate with reference to the telked of competition of the foreigner and the agricultural interest. lie greatly 'regretted tnat mat suggestion was not acquiescru in, oreauM ne inougui ina in a monui or six weeks such commission would have cleared up a great many knotty and difficult points that were entirely misunderstood. Having read parts of elauM 87 and 88 of the report of tho Royal Commlwion on the Depression of Trade and Industry (these clauses dealing with the subject ot preferential rate), be said they would see that what be had read brought in this point that besides the immediate complaint of the manufacturer, there were the enormous interests of the ports of the country to be eon aiaemi, and, above all, the overpowering interests ot vne consumer. These were matter which they had had to reconcile, and it nut be borne in mind that in trying to reconcile them every Commission and Committee which had inquired into the subject, on the authority of the Crown or of Parliament, had exonerated the railway companies from blame.

He would not go into the tz parte statements made by the deputation to the Board of Trade or made in letters to the newipspcrs, because he did not think they could deal with them better than they had been dealt with by a great authority in a letter tu Tkt Tinti of 4 the Vth inst. under the signature of Having read the letter in tztnuo, he said they would see from it the exact position that the railway companies were in. He would sum up by urine that a reference to Mr. Urieraon'a book would show that, far a merchandise traffio was concerned, comparing like with like, there was no advantage that foreigners had on their own railways eoual to those ciren bv hnfliah railwav companies to their customer and he was certain that if they took a larger view, and went into tho question ox passengers, mails, snd lerrhandiso. there was nothing on the Continent which could compare with the English railways.

They wished in every way to meet tneir euitomers. avery railway snare holder, however, most keep his weather eye ''open to see that no dsreage was done to his property. He then warned them against circular addreMed to them advocating the advantages ol certain projected undertaking, and urged them to put no confidence in any circulars unless they emanated from the company's offices and were signed by the secretary. Mr. William Cawkwell seconded the motion, which was carried unanimously, and the dividend recommended were declared.

The chairman then moved That the nrorjosal to execute the works, as stated in the renort of the director ba approved, and that this meeting sanction the addition to the capital of the com pany ot the uni of lor sucn purposes." They nad, he said, spent tho smallest amount on capital account that had ever before been recorded by them, and the resolution wouldadd only 135,000 to that amount. The motion was carccrd. Resolutions baring been passed authorizing the directors to exercise the borrowing powers of the company ta the extent sanctioned by their Arts, and re electing the retiring directors and auditor, the chairman proposed the following resolution i That sanction be given to the gift by the company to the Corporation oi Crewe, for the Korpoae of a public para or recreation ground, ol lands dunging to the company, not exceeding 30 acres, and to the expenditure of a sum not exceeding 10,000 for laying out the ssme and other lands adjoining thereto as such park or recreation ground, and that the directors be sutnor ixod to take all necessary step accordingly, including any necessary application to Parliament." He stated that they bought the land referred to a good many years ago, a very large quantity having been acquired for tha purpose of enlarging the works. Of lata years they had oome to the conclusion that am one the want of their own town of Crewe waa a park that if their people were to be kept, as they hoped would always be the case, among the best of the community, they ought to have every advantage which the comnaiir could afford to eire thun. Therefore, in conjunction with some neighbouring gentlemen ot the town of urewe, who nad contributed a portion ot tne land, the company were proposing to give the land mentioned for a park not altogether as a present to the town or in relation to the Queen's jubilee, but for other purposes.

They would get the advantage back in the good conduct and well doing of their own people. The company and their people were paying two lnird ot tne wnoie rate ot irewe, the town was theirown creation, and, oddly enough, thi had happened that while the railway system was contemporaneous with the life of Her Majesty, so the opening of this line and the jubilee of the line were contemporaneous with the jubilee of Her Majesty. It tho directors had asked the proprietor to celebrate the jubilee of the rail wav tbev would nave said tnat tnat event was tne day when the Grand Junction was opened throughout, and when a tort ion of the London and Birmingham line wss opened. That day would be in July, excepting tne uvr pool and Manchester line, there was no line, be believed, of the North Western Company certainly none of their main lineopened before the Queen's accession to the throne. lie bad received letters now in lavour ot and against the proposal, and at the request of Colonel Pryse, of Aberrstwith.

he read the Protest which had been com municated by that gentleman. Mr. Cawkwell seconded the motion Mr. Tnrle objected to the proposal a impolitic, unjust, and dangerous, but Mr. Pateraon, on the other hand, spoke warmly in favour of it.

The chairman briefly replied, and urged them to agree unanimously to the proposal, so that the park might be handed over to the town of Crewe, to show the appreciation which the proprietors in the company had of their workpeople there. Crewe was the centre of their whole system, fie then put the motion and declared it earned unanimously. The report of the directors of the Fntsiss RalLWar Company for the half year ending December 31 states that during the first portion of the half year there was a considerable falling off in the traffic, but towards the dose of the year a revival in the iron and steel industries occurred which caused the result of the half year's working to be slightly better than that for the half year ending December 31, 1885. The grew receipts amounted to as compared with 223,272, and the net receipt to 119,649. After payment of the dividends upon the debenture stock and guaranteed and preterenee stocss, tnere is a oaiance ot 23,073, which will admit of a dividend upon the ordinary atock at the rate of 2 per cent, per leaving 1,663 an rmrriftl forward.

Tha estimate of exoendjture ucon capital account during the half year was 8,537, but of this only 3,612 waa expended. The 28th annual meeting of the LOSTK5X GraxxiX Omxdci Company (Limited) was held yesterday at the ehief office, Finsbury square, Mr. John Pound in the chair. In moving the adoption of the report and the declaration of a dividend at the rate of 10 per cent, per annum and a bono of 1 fis. per making the distribution 12) per cent, per annum, tne enairman reminded inem tnat at tne last meeting, ix monuu ago, we aonuuyv uco ausiiitea ahowed a decrease in their profits of 12,000 compared with the June half year of 188S but on the present occasion the diminution in their profits was only 2,866 compared with those of the December half of 1883.

Their receipts for the past six months had been 339,257 and their expenses 293,602, leaving a profit of compared with 48,344 in the corresponding period of 1885. In the past half year their receipts per mile ran had averaged SrC3d. against 9 68M. in the December half of 1885. and their profit bad averaged l'18d.

per mile agsinst l29d. per mile. They had run 42S per cent, more miles, and the reduced fares had increased the number of passenger carried. Hut for this it would not hsre been in the power of the directors to recommend the diridend and bonus mentioned. In fact, to pay their half yearly expenses required more than 37 million passengers.

In the June half of 1886 they carried 37 million passengers, in the December half of 1885 the number carried was 3Sj million, and last half year they had carried 42J million passengers. They had turned out of their factory 18 more omnibuses last half year than they did in the Docember half of 1885, and therefore there was an increase in the omnibus stock of 3,000 odd. Provender had cost about the same, butas they had 465 more horses, the total cost bad been more. All the other expenses were in proportion to the increased work they had done. They must congratulate themselres on still, haring in their favour many important items, but he did not think they ought to reckon on that state of things continuing.

They therefore proposed to further strengthen the reserve fund by 10,000, so as to be prepared for any contingency. M. A. P. Kaianson seconded the motion, which was carried unanimously.

The retiring directors, Mr. Henry Larer and M. P. Toche, were re elected, as was also the retiring auditor, Mr. R.
