This was an appeal from an order of the Court of Appeal affirming an order of Mr. Justice Pearson dismissing with costs an application of tbe appellant, under the 165th section of the Companies Act, 1802, founded on an alleged misfeasance by the respondent in not disclosing that he was interested in three coal arras situated in the island of Cape Breton, in the Dominion of Canada.

It appeared that the appellant was a shareholder in tho Capo Breton Company Limited), which was formed for the purpose of acquiring certain coal areas in Cape Bretcn, and tbat the respondent was a director of that In 1871 the respondent, who is a stockbroker and a member of the Stock Exchange, was a member of an association called the Coal Area Association, which had been formed for the purpose of acquiring land, mines, and mining rights in Nova Scotia, and to promote companies for tbe acquisition and working of such land, mines, and mining tights. In that year tbe Coal Area Association acquired the. three areas in question for the sum of 5,500, and in 1873 the Capo Preton Company, was formed, of which the respondent was a director, and which purchased the three coal areas in question for the sum of 42,000. In July, 1S75, the Capo' Breton Company became insolvent, and was ordered to be wound up com pulsorily.

It was admitted tbat at the.time of the original contract for tbe purchase of the coal areas in question the position of the respondent was not folly disclosed to the Cane Breton Company, but after the facts had become fully known it was resolved at a meeting of the company to confirm the purchase and to sell the property for what it would fetch. The property was ultimately sold for 15,000. The appellant, as a shareholder in the company, then brought tbe present action asking for a declaration tbat the respondent as a director of the company wag guilty of misfeasance and breach of trust in affixing the seal of the company to the agreements for the purchase of tbe coal areas, and in paying the sum of 42,000 for the properties.and for adeclaration that the respondent skould repay tbe company tbe sum of 42,010. The case came before Mr. Justice Pearson, who held that the only lemedy which the company could have against the respondent was a rescission of tho contract which had been rendered impossible through the action of the company in having determined to adopt th purchase and to sell the property for what it would fetch.

This decision was affirmed by the Court of Appeal. Their Lordships now unanimously affirmed the decision of the Court of Appeal. The evidence on which the appellant's case was based was of the most meagre description, and rather tended to show that there bad been an enormous rise in tbe price of coal areas between the years 1871 and 1873. On the whole there was no ground for setting aside the judgment of the Court below, inasmuch as the company, with a full knowledge of tbe facts, had voluntarily ratified tbe purchase of the property, and bad thereby precluded themselves from rescinding such purchase. Judgment affirmed and appeal dismissed with costs.

This was a case of some public interest, especially to mushroom owners, being a landowner's appeal from a determination of the Justices for Sussex, sitting at Hove, refusing to convict defendant on a charge under 24 and 25 c. 97, 52, of having wilfully and maliciously com mitted damage to appellant's property, by entering a field to gather, and gathering, mushrooms. The point was argued before the Court some time ago, when Mr. Corrie Grant appeared for the appellant, and Mr.

Box all for defendant. Judgment was now delivered. Mr. Justice A. L.

beld that a mere gathering of mushrooms was not an offence contemplated by the Aet under which these proceedings were taken. Some actual damage. must be sbo rn to have accrued to real property, and it was not an offence to destroy uncultivated roots or plants. It could not be supposed that while the Legisla: ture only punishfd damage to cultivated plants with one month's imprisonment, the gathering of mushrooms would render a person liable to two months imprisonment, as be would be in the event of a conviction under the Aet under which these proceedings were taken. Tne Justices were therefore right in refusing to convict.

They are charged with attempting to defraud Palmer of a valuablo reversionary interest. There is not a scintilla of evidence tb wpprirt it. It was not suggwited until Palmer had, in tho audacity to say that his bankruptcy was a concocted affair. Ha said that he did not oppose the bankruptcy because he never thought they could make him a bankrupt He got clear of all bis debts through the bankruptcy. The result of it was that 0,000 was deposited, to be released to Jonas if the pro secution came to an end. Tbe magistrate thought there was something behind, and adjourned lt'sine dtt. For some reason a third arrangement is entered into a cheque for 3,000 and one for 500, to be divided as had been arranged.

It is extraordinary that they should think of paying such a sum. Tbe reason given waa the illness'of the mother, but the' plaintiff protested against it from first Ui last. I do not know anything more scandalous than to go into Court and make statements on the suggestion of Palmer that did not inculpate them cne bit, and lead the magistrate to believe that there was supplemental evidence; of Saville and Marks, which was not intended to be sworn, made with the intention to be put into the hands of counsel.counsel. A more diabolical act was never done.

The jury returned into Court after an absence of 40 minutes. Tbe Foreman. We consider unanimously that Jonas and Saville did conspire to get Palmer to prosecute with a view to extort money. As to Marks, we are of opinion that he acted as agent or servant to Jonas during tbe matter. The learned JuiiCE then left the further question Had the defendants Marks and Saville, and, if so, which of them, reason for believing that the plaintiff was guilty of the crime mentioned in tbe two summonses The Foreman.
