Hawlcy says: 1 Reference was made in last year's report to the ac quisition by the company of a majority of the capita! etock of the Des Moiuos aud Fort Dodge R. and on January 1. 1905, the company leased from the latter for a period of thirty years the line of railway extending from the city of Des Iowa, to Ruthven, a distance of 138.G5 miles, with trackage rights ovet trie Chicago, Mil wnukee St.

Paul Ry. lines of rnilway from Ruth von to Spencer (12.45 miles), and over the Illinoie Centra! R. R. line of railway from Tara to the City of Fort Dodge (6.07 miles), making a total of 157.17 milss. Undi the terms of the agreement this company is to operate the property of tlw lisaor, paying all expenses incurred in its operation and maintenance and applying the re niaining earnings to maintaining its corporate organiza tiou, to the payment oi taxes, mo interest on mortgaged debt and on certain otter obligations then outstanding, also towards the payment of such betterments and additions as arc required to accommodate the business and traffic of the prcpy so leased, the balance remain ing to be paid over to the lessor.

The control of this property gives the company direct entrance into tho city of Des and eaublcs it to compete fur traffic it cnuld not otherwise secure. As the lines of the property also traverse rich and productive agricultural sections of the slat; of Iowa, tbey should prove valuablo feeders to this company's lines. The. average miles of main track operated for the year were 720.39 miles, an of 78.55 miles as compared with tlie preceding year. The grow transportation receipts icr tlie year amounted to $3,076,756, an increase of $226,101, or 7.03 over th? previous year.

Conditions governing traffic were most unfavorable during the year, resulting from the psrtial failure of the crops in the territory served by these lines, and also from tha continued inactivty in general business conditions which prevailed for. the two prcvous years. In addition a heavy was made, in rate on grain aud milling products by competitive lines, which the company was obliged tp meet to secure a sliar? of this imporiant clnss of business. The ratio to transportation earnings was 50.44, as compared with 50.20 for the previous year. During the year tlie company' advanced to the De Moines Fort Dodge Railroad Company the requisite fund, for the redemption of its $2,400,000 fiwt and second mortgiige bonds aud tC, 2,000 first mortgage extension bonds, manuring January 1, 1905.

In consideration of these advance the Des Moines Si Fort Podge Railroad Company executed and delivered to this company of it f.rst Jiret mortgage thirty-year 4 gold bonds dated January both principal and interest being guaranteed by this company. The bonds were snb-sequevtlyvaold, and to reimburse the company for the discount, the De Moine Fort Dodge R. R. Co. ex ecuted certificates of indebtedness, bearing interest at the rate of 6 per annutn, to the amount of $305,200.
