Bovril (British, and Colonial) (Limited) has been formed with a share capital of 2,000,000, divided into COO.OOO Fire and a Halt per Cent. Cumulative Preference. .750,000 Seven per Cent. Ordinary, and 750,000 Def twTcd shares, all of 1 each.

There is also 500,000 in Four aod a Half per Cent. Debentoro stock, redeemable at 105, on six months'' notice. The company will scqnire the wholo assets of Bovril (Limited). The porchase price is fixed at 2.500,000, payable in cash, shares, or debentures, or any of them, at the option of the directors. There are two points in connexion with this prospectus which do not seem Satisfactory, though' they may, of course, be susceptible of an explanation.

First, as to the capitalization. A snort while ago the business of the old Bovril Company was sold to Mr. E. T. Hooley for 2.000,000, and it is now offered (to the public and, incidentally, to the old shareholders for 2,500,000.

We must assume, we suppose, that something haa happened to add 25 per cent, to the value of the concern since the beginning of October, though) jit i not easy to imagine what it can be. Next as to the estimates of future profits. The net profits of the old undertaking for the year ended, June 30, 1896, wero 89 against 57,605 in 1894 95, an increase of about 54 per which is a very rapid rato of increase but those who are responsible for this prospectus look for an even more rapid rate of expansion in the future, since they anticipate that the net profit for the first year of the new company will approximate the sum of 150,000." Surely it'; is hardly prudent to assume that the rate of progress will now be as high as 66 per even allowing for the expected increase of the business abroad. The Australasian Gold and Finance Corpora tion (Limited) has a capital of 200,000, divided into 190,000 Ordinary and 10,000 Deferred shares of 1 each. The present issue consists of 100,000 Ordinary shares.

Every applicant for 50 Ordinary shares, or multiples thereof, will have the right to apply for two Deferred shares for each 50 Ordinary shares. The company ia to pay the vendor 30,000, payable as to 5,000 in caih. further by the allotment to him of 15,000 Ordinary shares fully paid, and tho balance by the allotment to him of the Deferred shares as fully paid, subject to the arrangement previously referred to, with the alternative at tho option of tho director to pay to tho vendor par value in. cash for any number of such Deferred share as they may demand up to 4,000."
