City Councilman Carter Burden, one of the owners of the New York firm, "has not accepted" the Post's offer to buy his 24 per cent stock interest for $7.50 per share, said Dave Fluhrer, a spokesman for Post Publisher Katharine Graham. Burden had been assured that "if the offer were accepted, it would be followed by a merger proposal that would result in all other stockholders receiving the same price," Fluhrer said. He said "the discussions with Mr. Burden were therefore terminated." Burden was not available for comment.

Job Incentive Plan Praised WASHINGTON (UPI) A proposal by the chairman of the House Ways and Means Committee to stimulate new jobs through industrial tax breaks rather than grant broad tax cuts won praise Friday from a top House Republican. Rep. John Anderson, R- a high-ranking House Republican, said the planing would provide for "productive, rather than makeshift jobs.

This has long been a major premise of the Republican party." REP. AL Ullman, D- chairman, has said he intends to press for the $5 to $10 billion employment tax incentive program when the new Congress reconvenes next week. Under the Ullman plan, the government would reimburse employers for a portion of the wages paid to new workers. House Democratic leader Jim Wright has proposed that state and local governments be given at least $2 billion more for public works projects to create jobs. President -elect Jimmy Carter will discuss the economic proposals next week in a meeting with Democratic congressional leaders.

Anderson, chairman of the House Republican Conference, applauded Ullman's proposal in a statement issued by his office. He said he also may offer his own plan. IOWA 52803. "THERE is an increasrealization that the present employment problem will not succumb quickly to conventional monetary and fiscal policies without exacerbating inflation," Anderson said. He said he expects Ullman's proposal to be limited to high unemployment areas and the hiring of workers receiving welfare or unemployment compensation. Anderson said that while he supports the concept of employment tax credit, the incentive should be based broadly enough to apply to all net employment gains; and should not be too restrictive in eligibility. "We must be careful to protect existing employment when we offer industry sizable incentives to hire new employes," he added.

"We don't want to rob Peter to pay Paul." Attica Clemency Angers Officers ATTICA, N.Y. (UPI) Representatives of prison guards and policemen Friday bitterly criticized Gov. Hugh L. Carey's clemency for all persons involved in the September 1971 Attica prison rebellion, which resulted i in 43 deaths. The harshest words came from the president of the union that represents guards at the Attica Correctional Facility.

Ronald E. Wert, president of Council 82, AFLCIO, said the clemency gives inmates "an open license to do or cause any harm without retributions anywhere." Wert was particularly angered over Carey's clemency grant in the case of John B. Hill of Buffalo. Hill was convicted of murder in the death of Attica guard William Quinn and was serving a 20-year to life sentence. "IF HE wants to play God," Wert said of Carey, "I'd like to see him bring back Billy Quinn." Quinn was beaten by rioting inmates on the first day of the uprising.

Al Sgaglione, president of the Police Conference of New York, which represents 206 local police unions, declared, "What the governor has done is said to the criminal element 'you have a friend in the executive mansion'." Patrick Carroll, president of the Police Benevolent Assn. of the New York State Police, said Carey's announcement "reinforces the belief in his lack of support for law and order and police officers in general." CAREY announced Thursday he had granted clemency in the cases of eight men who were inmates at the time of the riot and that no disciplinary action will be taken against 20 guards and state policemen who had been named by a special prosecutor. Carey said his page-bypage review of two special reports, which were severely critical of the postrebellion prosecutions, had convinced him that "the time has come to firmly and finally close the book on this unhappy chapter in our history as a just and humane state." The reports by special deputy attorneys general Alfred Scotti and Bernard Meyer both charged that state officials did not properly investigate allegations of crimes committed by police and guards during and after the riot.
