02 THURSDAY, OCTOBER 24, 1996 Money THE SALINA JOURNAL T RAILROAD MERGER Norfolk Southern joins bidding war for Conrail By The Associated Press PHILADELPHIA — Touching off a bidding war Wednesday for dominance of the rail freight industry east of the Mississippi, Norfolk Southern offered to.pay $9.15 billion for Conrail Inc. — $1 billion more than CSX offered. Either merger would create the nation's third-biggest railroad, ranking behind Union Pacific and Burlington Northern in track mileage. Norfolk Southern's offer would mean $100 per share in cash to Conrail stockholders, beating the offer CSX made just last week of a cash-and-stock mix that values Conrail at about $88.51 per share. Both Norfolk Southern and CSX are after Conrail's extensive track network that, operates in 12 states in the Northeast and Midwest. Y GIBSON'S DISCOUNT CENTER Bankruptcy filed Salina store not affected by company's action From Staff and Wire Reports Gibson's Discount Center Inc., a Dodge City-based franchise discount retail chain with 22 stores in seven states, filed for Chapter 11 bankruptcy protection Wednesday in U.S. Bankruptcy Court in Delaware. The Salina Gibson's store is part of a two-store franchise owned by the Maynard Jones family of Salina and is not affected by the Dodge City company, family members said Wednesday night. No staff cuts or store closings were immediately planned for the privately-held Dodge City company, said Ron White, director of human resources. Chapter 11 bankruptcy protects a company from possible credi- tor lawsuits while it reorganizes its finances. "Basically, we just need to reorganize some of our debt. It's that simple," White said. "We don't plan anything other than just going on with business as usual." White said the court had not answered the filing Wednesday afternoon. The company listed assets of $44 million dollars and liabilities of $40.5 million. Gibson's Discount Center's parent company, Gibson Holding Co., also filed for Chapter 11 on Wednesday, along with another subsidiary, Gibson Franchise Corp. Unsecured liabilities include $6.9 million in loans, with most of the remainder listed as trade debt. The Dodge City company has eight stores in Kansas, including one in Dodge City. Maynard Jones and a partner opened the Salina store 35 years ago on North Santa Fe. "We are independently owned and have been since 1961," said Tom Jones, Maynard Jones' son. The store expanded to its present location at South and Broadway in 1966. The Jones family also owns the Gibson's store in Clay Center and is planning to open a store in El Dorado next spring, said Scott Jones, another son. The Dodge City company owns the Gibson name, and the local store pays it a franchise fee. Its only other connection is that the local store buys some merchandise from the Dodge City firm.
