Good First-Quarter Reported National-Standard Annual Meeting NILES At the annual stockholders' meeting held Tuesday, President T.H. Pearce reported that National Standard Co.

and its wholly owned subsidiaries had earnings of $1,693,739 equal to 64 cents pe share, for the first fiscal quarter ended Dec. 21, 1966. This was 42 per cent higher on a per-share basis than last year's earnings of $1,176,276, or 45 cents per share. Net sales for the quarter were $24,243,154, a 19 per cent increase over sales of $20,456,806 a year ago. "Although these results are Very good," Pearce said, "we must point out that this quarter is being compared with the poorest quarter of last year.

Sales and earnings cannot be expected to increase at the same rate for the "balance of this fiscal year." He added that first quarter results compare favorably with the other quarters of the 1966 record year, when earnings were $5,880,000 or $2.25 per share on sales of $90.3 million. ECONOMIC OUTLOOK Reporting on the current economy, Pearce said, "there is talk of a business downturn, but we are not aware of any major changes up to this time that would substantially affect National Standard. Our business continues at a high level, and with a good first quarter behind us, we are confident that the company is heading for another fine year." In other business, stockholders approved the proposal to change the authorized capital stock to 6,000,000 shares of common stock and 600,000 shares of preferred stock, as well as a new stock option plan. Three directors were elected at the annual meeting for three-year terms. V.M.

Cain and C.F. Scheehle, were re-elected to the board. L.F. Koerber, of Northbrook, 111., was elected for a previously unfilled vacancy. Koerber is a partner of the law firm of McDermott, Will Emery, Chicago, which is presently general counsel for National-Standard.
