The announcement came five months after Semon Knudsen left General Motors Corp. to assume Miller's position as Ford president. Miller will be taking over as dean of the Graduate School of Business at Stanford University, effective July 1, 1969, Ford and Stanford officials announced.

Whrn Knudsen left as vice president of GM and came to Ford, Miller was moved upward to his present position. But Knudsen apparently held more power in Ihe company than Miller, some observers said. The said notes will be dated as of Jutv 29, 1968; will be due and payable, as to both principal and interest, on June 16, 1969, (without option of prior redemption); will be noncoupon notes bearing interest at a rate or rates not to exceed 4'k per annum; will be registrable as to both principal and interest on the books of the State Treasurer; will be numbered in consecutive order from 1 upwards; and will be in such denominations, in multiples of $25,000.00, as shall be specified by the original purchasers. If two or more bids specify the same net interest rate, but all such bids cannot be accepted in full, any notes awarded at that rate will be prorated (to the nearest multiple of $25,000.00) to such bidders in the same proportion as the principal amount of each bid bears to the aggregate principal amount of all such tie bids. In the event that a bidder is awarded notes in lesser principal amount than bid for, such bidder may substitute a good faith check in the amount of $10,000 or Vi of 1 of the par value of the notes awadred to such bidder, whichever is the greater, and the original bid check will then be returned.

Bids shalf be conditioned upon receiving the unqualified opinions of the Attorney General of the State of Michigan, and Miller, Canfield, Paddock and Stone, attorneys of Detroit, Michigan, approving the legality of the notes. There will also be furnished the usual closing documents, including a signature identification and nonlitigation certificate, dated as of the date of delivery of the notes. The executed notes will be delivered at a place to be agreed upon by the State Treasurer and the purchaser of the largest principal amount of the notes. The State will pay the cost of the legal opinions and the cost of printing and delivering the notes. Payment for the notes shall be made in Federal Reserve funds available to the State at the time and place of delivery.
