If this approximation prove to be correct, the officers under the contract would divide something like $830,000. of which President Kelly's portion would be in addition to his salary.

The minority stockholders contend that these prof-Its, amounting to about two and, a half times the requirements for a 8 per cent, dividend on the preferred stock, would be very much more equitably disposed of If distributed among; the stockholders. But United Electric Minority Will Fight Public 8ervlce Deal. Despite the opposition of the holders of one-half! of 1 per cent, of the stock of the United Electric Company of New Jersey, that ooncern was leased to the Public Service Corporation for a period of M) years in Newark yesterday. The resolution favoring the lease was passed by the Board of Directors two weeks ago, at which time the Directors of the Public Service Corporation accepted the proposition, I Tha resolution provided that tha lease be ratified by the stockholders of the United Electric Company, and the meeting was held in Newark yesterday.

It was expected that of the 4,000 shares of stock outstanding and not held by friends of the Public Service Corporation a big majority would co-operate with the known interests antagonistic to the plan, but when President Thomas N. McCarter showed how useful the Public Service Corporation had been to the United Electric, making possible the payment of dividends, more than half of the l.OSO shares held by the opposition decided to vote for the lease. i i The opponents of the plan were represented by counsel, Judge Thomas L. Raymond, representing James M. Seymour.

A committee of flips, headed by President 'Whitman, will appear before the Board of Estimate when their annual budget is taken up. The Magis trates also vote to ask for the- court attaches an increase of each. Michael J. Kelly of 600 West 127th Street was arrested last night by Central Office detectives, on the complaint of John Vogr-I. cabinetmaker, of 620 West Thirtieth Street, who charged him with grand larceny. Vogel declared that the man had visited his factory on June and. represent-tng himself ss the agent of the National Water Meter Inspection Company of Pine Street, offered to have his bills for water reduced for 125.

Mr. Vogel paid him the and never saw the man again. lie then visited Police Commissioner Bingham, who told him that there had been several similar complaints. The Commissioner assigned two detectives to the case, and they found Kelly last night.
