Court of Ap-peala, yesterday heard the appeal of the Metropolitan Btreet Railway Company and the Morton and Guaranty Trust Companies from Judge Laconbe'i order of March last, authorising; Receivers Jollne and Robinson of the New York City and Metropolitan Street Railway Companies to issue certificates to the amount of $3,500,000. to be used In the rehabilitation of the surface railroads. Judge La-combe's order made the receivers' certificates a lien on the property of the Metropolitan Street Railway Company superior to mortgages aggregating; held by the Guaranty and Morton Trust Companies on the property. j.

Telephone Directorate Charles Steele of the firm of J. Mor gan Co. retired yesterday from the Di rectorate of the New Tork Telephone Company at the annual meeting- of the stockholders, and was succeeded by Charles L. Klng-sley. The three Vice Presidents of the company were re-elected, but the designations First, Second, and Third were done away with, and all three made simply Vice Presidents.

Were Fewer Failures In April. The report of commercial failures for the month of April, according to fig-urea compiled by Dun's Review, Issued yesterday, made the least tin favorable ahowlng-alnce last November. The liabilities in April were 120.816,483, divided among; 1.30U concerns. the brokerage failures excluded, the ahowlna would be still mere favorable, the liabilities of failed manufacturing: concerna being the email-eat since last Juiy. Grand Master Scudder read his address, which haa the nature of an annual report, yesterday. In It he touchitd upon matters unpleasant aa well as pleasant-He said that he felt it bia duty to. call attention to certain evlla, continuing: Not the 'least of such evils Is that to which I called attention In my address of last year, and which may be termed In the year which haa passed oue brother haa been brought ta trial on charges of entering into and receiving the benefits of a corrupt agreement to uae Influence In return for. emolument, and after a long and careful hearing the Trial Commissioners were unanimously of the opinion that the brother waa guilty, and lm posed sen nee upon him." Mr. Scudder then quoted as follows from the worda of the commission: Of recent years there has grown up the custom of presenting gifts to District Deputy Grand Masters on the occasion of their official visits to lodges and for the performance of official acta.

This should not be confounded with the legitimate reimbursement of District Deputy Urahd Masters for necessary expenses as provided by tha Constitution, nor with the presentation to a newly appointed District Deputy Grand Master by his own lodge of an apron and Jewel of office. It is the promiscuous presentation of gifts to which reference Is mads. This practice has, during ths last four years, been frowned upon by most of the District Deputy Qrand Masters, who have refused to permit presentations to be made to ibem. To some extent, nevertheless. It Is still followed, and cannot be loo strongly condemned.

To such lengths has this practice been carried aa to become a matter. of common knowledge and comment, to the scandal and disgrace of the fraternity, and a cause for deep sorrow to those having at heart the good name and honor of the craft. It Is wrong in principle, vicious In practice, and demoralizing In Its results. For a District Deputy Urand Master to receive emolument for the performance of his official duly is crossly Improper and In the highest degree unmasonlo. It engenders hypocrisy among lodge members and In the District Deputy Orand Masters.

The presentation by a lodge of an article of value as a token of love and esteem on the part of the members of a lodge, very many of whom have, perhaps, until then not even seen the District Deputy, and for him to receive it under such circumstances, la hypocritical in the extreme, and in contravention of one of the principal tenets of our profession. This custom Is the cause of an unworthy rivalry among lodges. veacb striving to excel the others In the costliness and ostentation of the gifts. It bears with hardship upon the financial resources of many members, and upon the treasuries of the lodges, whose fund, thus used for Improper purposes. are cwsequently diverted from worthy object for which money might otherwise be appropriated.

It is demoralizer as Inevitably resulting In a lowering of the moral tone of all concerned therein, and a blunting of that fine sense of honor which it Is one of the great alma of Masonic taachinga to foster In the brethren. The tendency is steadily downward. From the unsolicited receipt of a girt It Is but a step to tha sending to the lodge by a District Deputy of what m'Rht be termed advance who Inform the lodges what particular form of gift is desired by the District Deputy, and which on the night of his official visit he receives with many hypocritical expressions of surprise. As an example of the development of graft In Masonic circles, Mr. Scudder cited the short but eventful career of Triumph Lodge.

Mr. Scudder also deprecated the practice of delegating to an elected proxy the representation of a lodge in the Grand Lodge. He said that a provision of the constitution providing for the election of a proxy when neitner the Master nor Wardens of a lodge could represent that lodge In tne communication or the Orand Lodge haa been availed of by brethren with political proclivities and talents to endeavor to secure a seat on the floor of the Grand Lodge to the exclusion of the Master and wardens." Traffic across the old Madison Avenue Bridge over the Harlem River at 138th Street was stopped on Monday at midnight and prepare tlona were made to move the middle apan to another location, for the bridge at that point ia to be made new again. TO accomplish that will require a year. Throughout the morning hours tugboats and rafta were edged under the middle span of the old bridge, and about noon, the tide then, being at ita highest, the span was picked up bodily. The tuga and rafts moved alowly down the river about 3u feet, where the span waa fitted Into temporary approaches. At 3 o'clock, the tide having gone out, the span sank down Into Its new berth.

Then it was fastened down. This temporary bridge will be used In place of the Madison Avenue Bridge until the new structure on the old site is completed. The crosstown car tracka have been deflected to the temporary bridge crosaing. It will be several days before full traffic will be allowed on the temporary bridge, which Is at 133th Street. Meantime the service of the crosstown line running from Eighth Avenue and 135th Street to the East River and 138th Street will be suspended.
