June M. Pratt of Brooklyn. Lewie leMyard of New Tork. and Richard Olney of Boa-ton, Directors of the Boston at Maine Railroad, who were recently elected Dl-rectore of the New Tork.

New Haven A Hartford Railroad Company, have resigned from the Directorate of the latter company. Mr. Olney did not technically resign, as he had not qualified. Yesterday he declined to serve. They will undoubtedly remain In the Boston A Maine Director ate, and It Is practically certain that the New Tork.

New Haven Hartford Railroad corporation wtll continue to hold the blocks of stock of the Boston Maine which theee gentlemen represented. The cause of their withdrawal from the New Haven Directorate Is the presumptive passage of the anti-merger law by tbe Massachusetts Legislature and the legislative phaso of the situation In Massachusetts. Inquiry among railroad officers here Indicates a disposition to abide by the terms of the anti-merger law. The railroad authorities believe that with the meeting of the next Massachusetts Legislature, and State political and party influences quiescent, the Legislature and corporations will be able to reach an amicable agreement aa to the merger. It Is now stated authoritatively that within the last week there have been additional acquisitions of Boston Maine stock by the New Haven Company, until the total amount held Is now nearly one-half of the entire outstanding Boston Maine capital stock.

This In Itself assures practically the New Haven control of the Boston Maine Company. The option given by the New Tork. New Haven Hartford Railroad Company to the New York Central Company for the purchase of the New Tork. Ontario A Western Line at the price of $45 pox 1 share and some accrued Interest has been extended for six months. The agreement on trackage rights over the Boston A Albany has been deferred for the same period.

The extension of time In both cases Is due to the complications which have arisen over the merger bill In Massachusetts. The Ontario A Western option was given to Influence the New York Central's assent to the New Haven Company's acquisition of the Boston Maine. Pending the fulfillment of the whole merger, the extensions of the options have followed. One result of the extension la to make the future transfer of the Ontario Western to the New York Central much more likely than hag hitherto been the case. ern minority stockholders In the event that he Central petrrhsma contrwlof the Ontario A Western which Is now held by the Now Haven.

It has not yet been clc'dcd that such an offer will be tnado but It was on of tbe thlnsrs considered connection ittt the extension of tue Ontaric A Western option. Tlrs ct.to! of tho Ontario A Western roe the Nw Hsven In round iurirm $14 Ji to practically adnflu that the rptlos gHen to tho Central provWed f'-r the idirrncf-o of tha stock at the price wlilc the New Haven paid. This, ih-n, would call for the expenditure of by the New York Central and to purchase the remainder of the stock would represent a farther large expenditure. By the extension of the option for a year ft Is thought there will be ample opportunity to raise the necessary funds upon more favorable terms than could be had now. U.
