manufactures and sells low to medium-priced mobile homes under the trade names, First Lady, Montego, Queen Aire, and Monaco. The company has production plants at Sylvester and Millen, and Ocala, its largest and newest. Virtually all sales are made to dealers in Alabama, Georgia, Florida and the Carolinas. Brigadier was organized July 1, 1967. ASI was incorporated Dec.

22, 1956. It has operated as a sales finance company, principally in the retail and wholesale financing of mobile homes. More than 93 per cent of its assets were sold for cash last August and all long-term, subordinated and preferred debt paid. Stock in Brigadier Industries Corp. is held by Hutchinson, Simpson Enterprises, Inc.

and Three A Contractors. Principal stockholders in ASI are Goldsmith, Simpson, Timmons, Willimon, Canal Insurance Co. and William Goldsmith Co. Shareholders of ASI approved the merger at a meeting Friday on recommendation of their directors. Directors and stockholders of Brigadier previously had approved such action.

The new company is to be known as Brigadier Industries Corporation, manufacturer and distributor of mobile homes. Executive offices are at Thomson with divisional offices at 226 S. Pleasantburg Drive. The merger agreement also authorises an increase in the ASI capital stock from 750,000 shares to 4,000.000 and a change in the par value from $2 to 50 cents. Articles of incorporation oration are changed to enlarge-activities.
