THE PHILADELPHIA INQUIRER Sunday, November 29, 1992 D12h Death Notices Deatk Notices Meritor approaching a fateful deadline At issue is more than a quarter of a billion dollars in intangible "goodwill" that Meritor Savings carries as an asset on its balance sheet. The sum actually represents part of a deal struck with federal regulators more than a decade ago, when Meritor then a much larger and healthier institution agreed to take over the failing Western Savings Fund Society. Regulators have counted the goodwill as part of Meritor's capital base since then. But as the bank's problems with bad loans and collapsing real estate prices have caused it to lose tens of millions of dollars in recent years, that base in effect, Meritor's net worth has shrunk. Without the goodwill, its net worth at the end of September would have barely exceeded 1 percent of the institution's total assets.

The new rules that take effect Dec. 19 demand that banks and thrift institutions maintain capital equal to at least 4 percent of their assets, or face intense pressure from federal regulators. If an institution's capital drops below 2 percent, the rules say, regulators must take it over within 90 days, although they may grant temporary exemptions in special cases. Meritor officials insist the $250 million in goodwill makes them a special case, but dozens of other thrift institutions have been seized after regultors struck such goodwill from their books. The Office of Thrift Supervision, which oversees savings and loans, has been sued more than 80 times over similar issues, according to OTS spokesman Marc Adams.

The legal record in such cases is mixed. Federal appeals courts have consistently upheld the government's right to remove goodwill from a thrift institution's books, then seize the institution, an act that wipes out the value of stockholders' shares. But the U.S. Court of Claims has recently held that shareholders have the right to collect damages from the government, though how much has yet to be determined. If the government does step in, it will come as no surprise to many bank analysts.

"Meritor can't survive; it's got too many real estate problems," said one. "If it hadn't been for Roger Hillas, it would have been gone a long time ago." But some shareholders contend that, beneath Meritor's troubles, there is still a solid, potentially profitable banking business, with tens of thousands of loyal customers and a proud reputation in the city. "They do have a phenomenal franchise in the City of Philadelphia," said Peter Engelbach, a vice presi- dent at Prudential Securities. "As long as the government doesn't throw the switch, this bank is going to come out of it."
