On motion, duly seconded, the reading of the minutes of last meeting was dispensed with. The finance committee asked for further time to make their report. On motion, duly seconded, the same was granted until the 10th which time the treasurer was requested to bring his books and vouchers and be present. Carried. The President Announced that the waterworks and electric light subject was open for debate, and would like to hear the views of the members.

Wherea son, on motion of seconde by Larcade, the following resolution ts offered: Be it resolved, That a committee of three be appointed which, with the assistance of the town attorney, shall draw up an ordinance under the legal requirements for the submission of the waterworks and electric light question to the property taxpayers of the town at an election to be held at such time as shall be fixed by the President of the Board of Police for the purpose of levying a special tax of ten mills for ten years in order to pay for, and defray the expenses of, the construction and operation of said waterworks and electric light The same having been put to a vote, was carried unanimously. On motion duly seconded and carried, the same was granted. The Finance Committee having examined the books and vouchers of the town treasurer, showing his disbursement for the sum of as per his last report, hereby certify the same to be correct and recommend that he be credited with that amount, and his vouchers cancelled. On motion duly seconded, the Board adjourned until Wednesday, 17th inst. C. J.

ARTICLE IV. The capital stock of said corloratigni hereby fixed at the sum of five thousand. dollars, to be divided into or represented by five hundred share of the sum of ten dollars each, which said stock shall Sbe paid for twenty-five per cent. at the time of subscription, twenty-five per cent. in thirty daysi thereafter, twentlive pr cent.

All the corporate powers of said corration shall be vested in and exercised by a board of directors to be composed of eleven (11) stockholders, which board shall be elected annually on the first Mondayof February on each and every year, beginning in the year 1816. All such elections shall be by ballot, and held at the office of said corporation, under the superintendence of two commissioners, tobe appointed for that purpose by the board of directors, of whfch election ten days prior notice.

Vacancies occuring in the board -of directors shahl be llledby the remaining directors, and six (6) directors shall constitute a quorum for the transection of At the first meeting followlng each annual election the board of directorashall elect one of their number to be president of the corporation, and shall also elect a yice president, whose duty it shall be to fill the place and perform the duties of the president during his absence or at such times as the president may be disquallfied from acting from considerations of self interest or other causes. The board of directors shall also elect asecretary, corresponding secretary and treasurer, whose duties and powers shall be defined in the by-laws of this assoeiation, and it shall or may also appoint from time to time, and dismiss at pleasure, such officers, clerks, agents or other employes as may be deemed necessary for the business and purposes of the dorporation. Said board of directors may make and establish, as well as change, alter and ameiid, from time to time, any and all by-laws, rules and regulations that they may deem requisite for the supportand mnagement of the business and affairs of said corporation.

They shall have power and authority to eontract debts, borrow money, issue notes and mortgage bonds, execute mortgages and generally todo all things pertinent or incident to the objects and purposes of this corporation. And moreover shall have power and authority to issue and deliver fullpaid shares bonds or obligations of said corporation in of labor done or money borrowed or property or rights actually receive or purchased by the said eorporation. ARTICLE VTI. ARTICLE X. Whenever this -corporation is dissolved, either by limitation or from an. other cause, its affair shall be liquida ed or settled by three commissioners to be appointed for that purpose by the stockholders of said corporation at a general meeting convened ifor.that purpose, after thirty days public no ce shall have been given intone or more of the newspapers published in town of Opelousas, or contiguous thereto aforesaid.
