Meanwhile, 20 former Kotrozo stockbrokers and two outside investors purchased the assets of RL Kotrozo and will operate as West-America Investment Group said Tom Deinoce, president of the new firm.

Deinoce said the Kotrozos are not involved in the new company, but it will operate out of the former Kotrozo offices in Scottsdale and Sun City. RL Kotrozo's 45 employees will join WestAmerica either as owners or employees, he said. The WestAmerica investors paid off the $915,000 in promissory notes issued by the Kotrozos, said Deinoce, who was a stockbroker with the former company. PHOENIX (AP) An employee-owned investment company has risen from the ashes of RL Kotrozo a Scottsdale brokerage house whose founder was ordered yesterday to pay more than $1 million in restitution and fines for borrowing money from the firm's clients. Ray Kotrozo and his wife, Carol, had agreed in advance to the terms of an order approved yesterday by a 3-0 vote of the Arizona Corporation Commission, said Jon Poston, a commission spokesman.

Kotrozo is alleged to have used unsecured loans from clients to finance the firm's expansion. The clients never were told of the risk of making unsecured loans and were not provided information on the financial health of the company, according to the settlement. The petition was filed last Thursday.

It says JP Communications Inc. is an Arizona corporation doing business as KPOL-TV, 2475 N. Jackrab-bit Dr. David J. Polan is listed as president and Terri Polan as secretary, and Ralph Seefeldt as the attorney.

The petition lists $2.65 million in debts and assets of $35,000. The station stopped broadcasting last October because of financial problems. The station had been selling 30-second advertising spots for $10 to $15, less than a 10th of what many of their competitors were charging.

The Wichita, company said its president, Brian Barents, would take on the two additional positions. Lancaster will be a company consultant for a year, the company said. Learjet likely will be sold soon, Lancaster said.

That makes it a good time to step aside and allow the management team that is going to be running the corporation negotiate the details of the sale, Lancaster said. Allen Paulson, chief executive officer of Gulfstream Aerospace announced plans earlier this month to buy Gulfstream from Chrysler Corp. for $825 million and to buy Learjet from Integrated Resources for $60 million, with financial backing from the Forstmann Little Co. investment banking firm in New York. A Learjet spokesman has described the two executive jet makers' product lines as "very com-'patible." Gulf stream's executive jets sell for about $22 million each, while Learjet's planes run from $3.8 million to $6.9 million.

Barents, 46, has been Learjet president nearly a year. He previously was vice president-sales staff at Toyota Motor Sales USA Inc. Before that, Barents spent more than 10 years with Cessna Aircraft Co. He was senior vice president in charge of Cessna's jet, turboprop and reciprocating engine product lines when he left in 1987. During the past 2 years, Lancaster has overseen consolidation of Learjet's manufacturing operations in Wichita, and pushed the company to profitability in 1988 and 1989, its first profitable years since 1983.

The 1988 consolidation cut the company's Tucson work force by about 300 jobs. William Seidman, chairman of the Federal Deposit Insurance said attempts to inject more market discipline into the banking system will involve trade-offs, including greater financial instability and reduced consumer protection. "Any simple solutions could be counterproductive perhaps doing more harm than good," he told the House Banking Committee. The hearing, which included testimony from Charles A.

Bowsher, General Accounting Office director, was the opening shot in what promises to be the most explosive financial industry question before Congress in the next few years. Many private analysts believe deposit insurance helped encourage the risky behavior that led to mammoth savings and loan losses. But Congress refused to handle the issue in last year's bailout bill and ordered Bowsher's agency and the Treasury Department to study the matter and make recommendations by next February. Bowsher gave little hint of the GAO's ultimate stance, but urged legislators not to lose sight of the benefits of the system. "Deposit insurance deserves much of the credit for the fact that there was no serious loss of confidence" in the banking system during the 1970s and 1980s when "the nation experienced oil shocks, inflation, the worst recession since the Great Depression (and) a stock market crash," he said.
