SCT expects to fall short of earnings estimates SCT a Malvern software-maker, said yesterday that it expected to miss earnings estimates for the quarter ending Dec.

31. Wall Street analysts have been expecting the company to report earnings per share of 8 cents, according to First Call Corp. Exide shares tumble on report of grand jury investigation Shares in Exide Reading, fell 12 percent after a report that a federal grand jury in Illinois is investigating sales of the company's auto batteries by Sears, Roebuck Co. Exide was the chief supplier of the batteries to Sears until the retailer terminated the contract on March 1. An Exide spokesman, Bruce Boyle, said the company had not been informed that it was a target of a criminal investigation, but acknowledged that the company did sell used batteries as new under its previous management.

The company's shares fell to $6.31, or 39 percent for the day, in after-hours trading. NYSE close: $9,063, down $1.25. No FTC conditions for General Instrument, Motorola General Instrument Horsham, and Motorola Inc. said that the deadline had expired for the Federal Trade Commission to raise antitrust concerns to their merger. The companies also said that the Securities and Exchange Commission had approved Motorola's issuing shares to General Instrument stockholders as part of the proposed merger.

General Instrument stockholders are to meet Jan. 5 to vote on the merger. Snack Foods forming alliance with Minute Maid Snack Foods Pennsauken, and Minute Maid Houston, said they were forming an alliance to market Minute Maid and Hi-C frozen-juice products to retailers and food-service customers. The companies said they would begin shipping the products jointly on or before March 1. Snack Foods would be responsible for production, distribution and sales to all trade and consumer channels.

Amtrak breaks ground on $140 million converter Amtrak broke ground for a $140 million facility in Port Richmond that will convert electricity from a commercially available frequency to that used by locomotives on the Northeast Corridor. The new facility will replace a 60-year-old converter that is wearing out and lacks capacity to handle the anticipated growth of intercity and commuter rail service, said Amy Linden, Amtrak vice president. The two-story-high converter, which will be visible from the Betsy Ross Bridge, will be the world's largest when it is completed in early 2002, Linden said. Malvern Internet firm purchases Arizona company PlanSponsorExchange.com, Malvern, has purchased State Local PensionExchange.com, Phoenix, for an undisclosed sum, according to PlanSponsor's chief executive officer, Colin Wahl. PlanSponsor is owned by Internet Capital Wayne.

Casino operator settles La. charge, allowing buyout to proceed Players International an Atlantic City riverboat-casino operator, settled charges brought by Louisiana regulators, allowing Harrah's Entertainment Inc. to complete its $425 million buyout of the company. Players said it would pay $10.2 million to the state of Louisiana to settle allegations that it failed to report an extortion scheme by the son of a former Louisiana governor. Players did not admit wrongdoing or liability.

S. African firm takes 70 stake in Moorestown company Dimension Data, a South African telecommunications company, has purchased 70 percent of the ReCom Group, Moorestown, for an undisclosed amount, the companies said. ReCom is a reseller of Cisco networking hardware for the telecommunications industry. It reported more than $18 million in revenue last year. Colorado company buying three area commercial printers Mail-Well an Englewood, envelope-maker, agreed to buy three commercial printers for undisclosed terms to gain a significant part of the Philadelphia market.

Mail-Well acquired Phototype Color Graphics, Pennsauken, on Tuesday. It expects to complete the purchase of Strathmore Press, Cherry Hill, and Braceland Brothers, Philadelphia, by the end of the year. The three companies have combined annual sales of about $63 million. DuPont takes minority stake in Web chemical exchange DuPont Wilmington, said it took a minority stake in CheMatch.com, an e-commerce exchange for buying and selling bulk chemicals, plastics and fuel products. DuPont was one of four entities that together bought $30 million worth of stock and warrants in CheMatch, Houston; DuPont's share was not disclosed.

Fifty firms representing most of the world's transactions in those products trade on CheMatch, which went into operation 21 months ago. Hudson United completes acquisition of Jeff Banks Hudson United Bancorp completed the acquisition of JeffBanks Philadelphia. JeffBanks is a bank holding company with $1.8 billion in assets and 32 branches in the Philadelphia area and South Jersey. Hudson said it had named Betsy Z. Cohen, formerly chairwoman and chief executive officer of JeffBanks, divisional chairwoman responsible for commercial lending in the Philadelphia marketplace.

McDonald's Corp. yesterday agreed to acquire most of the assets of Boston Market, including 751 restaurants and franchise rights for 108 more stores, for $173.5 million, including debt. The deal is part of Boston Market parent company Boston Chicken Chapter 11 bankruptcy reorganization. A McDonald's spokesman said some restaurants would remain Boston Market sites; others would become McDonald's, Chipotle Mexican Grill, or Donatos Pizza restaurants.
