Kohnao, a Nctary Public, duly commissionet. al.d qualified in and for the Pariah St. Tammany, Staeo of Louisiana, personally and appeared the persons wh-se names are subscribed, declared to me, Notary, that availing themselves of the provisions of the laws of this State relative to the organization of corporations, and more especially of Act 267 of the Acts of the General Assembly of the State of Louisiana, for the year 1914, they have covenanted and agreed, and by these present do covenant and agree for themselves, their successors and assigns, to form themselves into a corporation and body politic, for the objects and purposes hereinafter set forth, to-wit: ARTICLE I. The name and title of this corporation shall be Mandeville Light and Power Company, and its domicile is hereby established at Mandeville, St. Tammany Parish, Louisiana; and under its corporate name, said corporation shall have power and authority to contract, sue and be sued; to make and use a corporate seal, and the same to break and alter at pleasure; to hold, receive, have, purchase, improve, alienate, convey, sell, borrow, pledge, mortgage, and hy'pothecate, under its said corporate name, property real, personal and mixed; to name and appoint such officers, directors, agents and managers or employees as the interests or convenience of said corporation may require; to make and establish by-laws, rules and regulations for the proper management and regulation of its affairs, as may be deemed necessary and proper, and the same to change and alter at pleasure; and to do all other acts and things permitted by law, or as shall be necessary and proper to carry out the objects and purposes of said corporation.

Said corporation, unless sooner dissolved, in accordance with its charter, shall exist and continue for a period of ninety-nine years from and after date hereof. ARTICLE II. The objects and purposes for which this corporation is organized and the nature of the business to be carried on by it, are hereby declared to be: First-To buy, own, sell, construct, lease and operate for the production or manufacture of ice, distilled water, either wholesale or retail. Second-To buy, own, sell, construct, lease and operate a cold storage plant. Third-To produce, furnish, supply and distribute electricity for light, heat, power, and any and all purposes for which it may be used, and to buy, sell, build, construct, lease and operate power houses, poles, lines, wires and cables for the above purpose.

Fourth-To buy, own, construct, sell, build, lease and operate waterworks plants, pipes and reservoirs, and to supply water for public and private purposes, to political corporations and individuals. Fifth-To buy, sell lease and Operate plants, pipes and systems for the manufacture and distribution and sale of gas for all purposes. Sixth-To buy, sell, own, lease, construct and operate laundries, either by hand, steam, gas or electric power. Seventh-To buy, sell, own, construct and lease ana operate bottling works for the manufacture and distribution and sale of pop, eitner wholesale or retail. Eighth-To buy, sell, own, lease, or operate a wharf or pier in the town of Mandeville, extending out into the waters of Lake Ponchartrain, for passenger, freight, boat landing, refreshment and amusement purposes.

Ninth-To buy, sell, mortgage, pledge, lease or sublease, or otherwise dispose of or encumber the property, real, personal or mixed, of this corporation, or the products thereof, and to do all such acts and things as may be necessary and proper to carry on the objects of this corporattior. ARTICLE III. The capital stock of this corporation is hereby fixed at the sum of Five Thousand One Hundred Dollars divided into fifty-one (51) shares of the par value of One Hundred Dollars ($100) each, provided, that the amount to which the capital stock of this corporation may be increased shall be Twenty Thousand Dollars Which stock may be issued at not less than par value for cash, at the time it is subscribed for, or at such time as may be deemed proper by the Board of Directors, provided that said stock shall be paid for in full within twelve months after same shall have been subscribed for, or in payment or exchange for property or rights actually received or purchased by said corporation, provided that all stock certificates shall be signed by thJ president and secretary of said corporation, and no stock shall be issued unless the consideration therefor has been received by said corporation. All transfers of stock shall be made on the books of said company at its office, on the surrender of the certificate therefor. ARTICLE IV.

The corporate powers of this corporation shall be vested in and exsrcised by a Board of Directors, which shall cqnsist of three stockholders, a majority of two of whom constitute a quorum for the ransaction of business. Said Diectors shall be elected annually rom among the stockholders on the Monday in January, comnencing on the second Monday in Fanuary, 1918, as provided by law. Within one week of their election, is above provided for, the Board of )irectors, shall elect from among heir number a president, a viceresident and a secretary-treasurer, rovided that one person may hold he office of both secretary and treastrer, and all of said officers and diectors shall hold their respective oflies for a period of one year from the date of their election, or until their successors are elected and qualified. But the failure to hold an annual election or to elect the officers as above provided for, shall not result in a dissolution of this corporation, but the then Board of Directors and officers shall hold their offices until their successors are duly elected and qualified. Any vacancies occurring in said Board of Directors shall be filled by the remaining members of the board, for the unexpired term, at a meeting called for that purpose after five (5) days written notice, sent by mail to said directors at their last known address.

The said Board of Directors shall have the power to make all by-laws, rules and regulations for the proper management and conduct of affairs of this corporatioin, and to change, alter, abolish and amend same at pleasure, and shall have and exercise all the powers conferred by laws on this corporation, and as set forth generally above. The said Board of Directors may also delegate any of said power in transaction of businesses of this corporation, to committees of their ovwn body, rr to thec officers an-l agents of corporation. The first Board of Directors of this corporation are hereby declared to be: J. L. Reed, Mandevrile, H.

H. Levy, Mandeville, and Harvey E. Ellis, Covington, with James L. Reed as president; Harvey 1l. Ellis as vice-president, and Herman H.

Levy as secretary-treasurer, who shall hold their respective offices until the second Monday in July, 1919, or until their successors are elected and qualified. ARTICLE V. No stockholder shall be held liable or responsible for the contracts or faults of this corporation or in any further sum than the unpaid balance due the company on shares of stock owned by him, nor shall any informality in organization have the effect of rendering this charter null, or of exposing any stockholder to any liability beyond the unpaid balance due on his stock. ARTICLE VI. The appearers hereby declare that they have subscribed the following number of shares of the capital stock of this corporation, to-wit: James L.

Reer, Mandeville, 25 shares. Harvey E. Ellis, Covington, 25 shares. Herman H. Lev, Mandeville, 1 share.

Thus done and passed at my office in the Town of Covington, Parish of St. Tammany, State of Louisiana, on this 18th day of July, A. 1918, in the presence of C. Poole and M. Planchard, competent witnesses, who hereunto sign their names together with said appearers, and me, Notary, after due reading of the whole.
