He was New Castle County chairman of the Democratic Party, chief deputy attorney general, and served on Gov. Charles Terry's committee for good government. He was an Army veteran of World War II. He was a graduate of Temple University and its law school. He was a member of Wilmington Country Club and St.

Joseph's on the Brandywine Catholic Church. Survivors: wife, Helen A. O'Donnell; son, Frank G. of Wilmington; daughter, Amy O'Donnell Porter of Greenville; sisters, Joan O. Rowe of Wilmington and Dorothy Weekley of Atlanta, four grandchildren.

Mass: 10 a.m. Saturday, St. Joseph's on the Brandywine Catholic Church, 10 Old Church Road, Greenville. Visitation: 7 to 9 p.m. Friday, Chandler Funeral Home, 2506 Concord Pike, Wilmington.

Burial: private. Contributions: Father Kenney Scholarship Fund, care of Salesianum School 19802. DWIGHT O. RATH, 62, died Sunday of cancer at home in Linden Manor Lane, Cecilton, Md. Mr.

Rath owned and operated DISMAH Land and Cattle Co. in Cecilton. A native of Rochester, N.Y., he moved to Wawa, in 1962 and Cecilton in 1974. Survivors: sons, Michael and John, both of New York City; daughter, Heidi Crockett of Belmont, N.H.; fiancee, Virginia Johnson, with whom he lived; three grandchildren. Service and burial: private.

MELVIN D. SHEPHERD, 79, of Newark, died Monday in Medpointe Continuing Care Facility, Elkton, Md. Mr. Shepherd was an assemblyline worker at General Motors Boxwood Road plant for 32 years, retiring in 1981. He was a Navy veteran of World War II.

Survivors: wife, Irene; son, Steven A. Sr. of Bear; daughters, Sandra Hann of Middletown, Linda Shepherd of Minquadale and Tammy Shepherd of Georgetown; sisters, Naomi Setz of Upper Darby, and Doris Archibald of Media, 16 grandchildren, 14 great-grandchildren and a greatgreat-grandson. Service: 11:45 a.m. today, chapel at Gracelawn Memorial Park, Du Pont Highway, Minquadale.

Mr. Townsend worked at Chrysler Corp. in Newark for 30 years, retiring in 1990. He was a Korean War Army veteran, and a member of St. Matthew's Baptist Church, Laurel.

WATSON, 77, of Oak Lane Manor, Fairfax, died Fri- day in Wilmington Hospital. Mr. Watson worked at Delaware Trust Co. for 30 years, retiring in 1984. He was past president of the American Institute of Banking.

He was an Army veteran of World War II. Survivors: wife, Jean son, Scott C. of Newark; daughters, Anne S. Watson of Monrovia, and Margaret S. Watson of Doylestown, Pa.

Service and burial: private. Contributions: A American Heart Association or Delaware Humane Association. WOODROW W. WILSON, 79, of Greenville, S.C., formerly of Brook- side Park, Newark, died Monday in Greenville Memorial Hospital. Mr.

Wilson was a fireman for the Pennsylvania Railroad, and a driver with Dr Pepper in the Wilmington area and with Hollingsworth Oil Co. in Newark. He moved to South Carolina in June. He was a World War II Navy veteran. His wife, Addie Le Virt Atkinson Wilson, died in 1988.

Survivors: daughters, Patricia Dennie, Kathleen Barbee and Greta Wilson, all of Greenville, S.C.; five granddaughters and five great-grandchildren. Mr. Zulinski worked at Artcraft Electric Wilmington, for five years and then at Hertz Rental Co. for 25 years. He was a World War II Navy veteran. He was a member of Teamsters Local 326 and VFW Post No.
